Common use of SPAC Public Filings Clause in Contracts

SPAC Public Filings. During the Interim Period, SPAC will keep current and use its reasonable best efforts to timely file all of its public filings with the SEC and otherwise comply with applicable securities Laws and shall use reasonable best efforts prior to the Second Merger to maintain the listing of the SPAC Class A Shares, the SPAC Public Warrants and the SPAC Public Units on Nasdaq.

SPAC Public Filings. During the Interim Period, SPAC will shall keep current and use its reasonable best efforts to timely file all of its public filings with the SEC and otherwise comply in all material respects with applicable securities Laws and shall use its commercially reasonable best efforts prior to the Second Merger to maintain the listing of the SPAC Class A SharesOrdinary Shares on the NYSE; provided, that the Parties acknowledge and agree that from and after the Closing, the SPAC Public Warrants and Parties intend to list on the SPAC Public Units on NasdaqNYSE only the Pubco Ordinary Shares.
