Common use of SPECIAL DISTRIBUTION SERVICES Clause in Contracts

SPECIAL DISTRIBUTION SERVICES. For special distribution services mutually agreed to in writing between the parties and the Adviser, including those set forth on Schedule D to this Agreement, such as filing appropriate documentation for advisory representatives to qualify as registered representatives of the Distributor (provided that the Adviser is solely responsible for its representatives’ meeting examination requirements) and their related registrations and fees, additional personnel, registrations, marketing services, printing and fulfillment, website services, proprietary distribution expertise for particular circumstances, and any other services in addition to the basic distribution services covered by Paragraph 1 above, the Distributor shall be reimbursed promptly upon invoicing its fees and expenses for such services, including: (a) all mutually agreed to costs to support additional personnel; (b) regulatory fees including FINRA CRD costs associated with marketing materials; and (c) printing, postage and fulfillment costs mutually agreed to in writing between the parties and the Adviser, and (d) amounts payable under additional agreements mutually agreed to in writing between the parties and the Adviser to which Distributor is a party.
