Common use of Special Meetings of the Board Clause in Contracts

Special Meetings of the Board. Special meetings of the Board for any purpose or purposes may be called at any time by the chair or by any two Directors. Such meetings may be held upon notice given to all Directors not less than three (3) days prior to the date of the meeting. Such notice shall specify the time, date, place, and purpose or purposes of the meeting and may be given by telephone, email or other electronic media, or by express delivery.

Special Meetings of the Board. Special Board meetings of the Board for any purpose or purposes may be called by the Chairperson or any Member at any time by the chair or by any two Directors. Such meetings may be held upon with at least 76-hours’ advance notice given to all Directors not less than three (3) days prior to the date of the meetingeach Manager. Such notice shall need not state a purpose of such meeting or specify the time, date, place, and purpose business to be transacted at such meeting except as otherwise required by applicable Law or purposes of the meeting and may be given as expressly required by telephone, email or other electronic media, or by express deliverythis Agreement. The Chairperson will preside over all special Board meetings.
