Common use of Special Remedies Clause in Contracts

Special Remedies. In view of the irreparable harm and damage which would undoubtedly occur to AmeriNet as a result of a breach by Mr. Last Name of the covenants or agreements contained in this Article Four, and in view of the lack of an adequate remedy at law to protect AmeriNet's interests, Mr. Last Name hereby covenants and agrees that AmeriNet shall have the following additional rights and remedies in the event of a breach hereof: (A) Mr. Last Name hereby consents to the issuance of a permanent injunction enjoining him from any violations of the covenants set forth in Section 4.1 hereof; and (B) Because it is impossible to ascertain or estimate the entire or exact cost, damage or injury which AmeriNet may sustain prior to the effective enforcement of such injunction, Mr. Last Name hereby covenants and agrees to pay over to AmeriNet, in the event he violates the covenants and agreements contained in Section 4.2 hereof, the greater of: (1) Any payment orcompensation of any kind received by him because of such violation before the issuance of such injunction, or (2) The sum of One Thousand ($1,000.00) Dollars per violation, which sum shall be liquidated damages, and not a penalty, for the injuries suffered by AmeriNet as a result of such violation, the Parties hereto agreeing that such liquidated damages are not intended as the exclusive remedy available to AmeriNet for any breach of the covenants and agreements contained in this Article Four, prior to the issuance of such injunction, the Parties recognizing that the only adequate remedy to protect AmeriNet from the injury caused by such breaches would be injunctive relief.

Special Remedies. In view of the irreparable harm and damage which would undoubtedly occur to AmeriNet the Company as a result of a breach by Mr. Last Name the Employed Executive of the covenants or agreements contained in this Article Four, and in view of the lack of an adequate remedy at law to protect AmeriNetthe Company's interests, Mr. Last Name the Employed Executive hereby covenants and agrees that AmeriNet the Company shall have the following additional rights and remedies in the event of a breach hereof: (Aa) Mr. Last Name The Employed Executive hereby consents to the issuance of a permanent injunction enjoining him her from any violations of the covenants set forth in Section 4.1 hereof; and (Bb) Because it is impossible to ascertain or estimate the entire or exact cost, damage or injury which AmeriNet the Company may sustain prior to the effective enforcement of such injunction, Mr. Last Name the Employed Executive hereby covenants and agrees to pay over to AmeriNetthe Company, in the event he she violates the covenants and agreements contained in Section 4.2 hereof, the greater of: (1i) Any payment orcompensation or compensation of any kind received by him her because of such violation before the issuance of such injunction, or (2ii) The sum of One Thousand ($1,000.00) Dollars per violation, which sum shall be liquidated damages, and not a penalty, for the injuries suffered by AmeriNet the Company as a result of such violation, the Parties hereto agreeing that such liquidated damages are not intended as the exclusive remedy available to AmeriNet the Company for any breach of the covenants and agreements contained in this Article Four, prior to the issuance of such injunction, the Parties recognizing that the only adequate remedy to protect AmeriNet the Company from the injury caused by such breaches would be injunctive relief.

In view of the irreparable harm and damage which would undoubtedly occur to AmeriNet the Consolidated Corporation as a result of a breach by Mr. Last Name the President of the covenants or agreements contained in this Article Four, and in view of the lack of an adequate remedy at law to protect AmeriNetthe Consolidated Corporation's interests, Mr. Last Name the President hereby covenants and agrees that AmeriNet the Consolidated Corporation shall have the following additional rights and remedies in the event of a breach hereof: (Aa) Mr. Last Name The President hereby consents to the issuance of a permanent injunction enjoining him from any violations of the covenants set forth in Section 4.1 hereof; and (Bb) Because it is impossible to ascertain or estimate the entire or exact cost, damage or injury which AmeriNet the Consolidated Corporation may sustain prior to the effective enforcement of such injunction, Mr. Last Name the President hereby covenants and agrees to pay over to AmeriNetthe Consolidated Corporation, in the event he violates the covenants and agreements contained in Section 4.2 hereof, the greater of: (1i) Any payment orcompensation or compensation of any kind received by him because of such violation before the issuance of such injunction, or (2ii) The sum of One Thousand ($1,000.00) Dollars per violation, which sum shall be liquidated damages, and not a penalty, for the injuries suffered by AmeriNet the Consolidated Corporation as a result of such violation, the Parties hereto agreeing that such liquidated damages are not intended as the exclusive remedy available to AmeriNet the Consolidated Corporation for any breach of the covenants and agreements contained in this Article Four, prior to the issuance of such injunction, the Parties recognizing that the only adequate remedy to protect AmeriNet the Consolidated Corporation from the injury caused by such breaches would be injunctive relief.

In view of the irreparable harm and damage which would undoubtedly occur to AmeriNet Trilogy as a result of a breach by Mr. Last Name the President of the covenants or agreements contained in this Article Four, and in view of the lack of an adequate remedy at law to protect AmeriNetTrilogy's interests, Mr. Last Name the President hereby covenants and agrees that AmeriNet Trilogy shall have the following additional rights and remedies in the event of a breach hereof:: 180 (Aa) Mr. Last Name The President hereby consents to the issuance of a permanent injunction enjoining him the President from any violations of the covenants set forth in Section 4.1 hereof; and (Bb) Because it is impossible to ascertain or estimate the entire or exact cost, damage or injury which AmeriNet Trilogy may sustain prior to the effective enforcement of such injunction, Mr. Last Name the President hereby covenants and agrees to pay over to AmeriNetTrilogy, in the event he the President violates the covenants and agreements contained in Section 4.2 hereof, the greater of: (1i) Any payment orcompensation or compensation of any kind received by him the President because of such violation before the issuance of such injunction, or (2ii) The sum of One Thousand ($1,000.00) Dollars per violation, which sum shall be liquidated damages, and not a penalty, for the injuries suffered by AmeriNet Trilogy as a result of such violation, the Parties hereto agreeing that such liquidated damages are not intended as the exclusive remedy available to AmeriNet Trilogy for any breach of the covenants and agreements contained in this Article Four, prior to the issuance of such injunction, the Parties recognizing that the only adequate remedy to protect AmeriNet Trilogy from the injury caused by such breaches would be injunctive relief.

Special Remedies. In view of the irreparable harm and damage which would undoubtedly occur to AmeriNet Puget as a result of a breach by Mr. Last Name the Director Nominee of the covenants or agreements contained in this Article Four, and in view of the lack of an adequate remedy at law to protect AmeriNet's Puget’s interests, Mr. Last Name the Director Nominee hereby covenants and agrees that AmeriNet Puget shall have the following additional rights and remedies in the event of a breach hereof: (A) Mr. Last Name The Director Nominee hereby consents to the issuance of a permanent injunction enjoining him or her from any violations of the covenants set forth in Section 4.1 5.1 hereof; and (B) Because it is impossible to ascertain or estimate the entire or exact cost, damage or injury which AmeriNet Puget may sustain prior to the effective enforcement of such injunction, Mr. Last Name the Director Nominee hereby covenants and agrees to pay over to AmeriNetPuget, in the event he or she violates the covenants and agreements contained in Section 4.2 5.2 hereof, the greater of: (1) Any payment orcompensation or compensation of any kind received by him or her because of such violation before the issuance of such injunction, or (2) The sum of One Thousand ($1,000.00) Dollars per violation, which sum shall be liquidated damages, and not a penalty, for the injuries suffered by AmeriNet Puget as a result of such violation, the Parties hereto agreeing that such liquidated damages are not intended as the exclusive remedy available to AmeriNet Puget for any breach of the covenants and agreements contained in this Article Four, prior to the issuance of such injunction, the Parties recognizing that the only adequate remedy to protect AmeriNet Puget from the injury caused by such breaches would be injunctive relief.

In view of the irreparable harm and damage which would undoubtedly occur to AmeriNet Colmena as a result of a breach by Mr. Last Name Wasserman of the covenants or agreements covenantx xx xxxxxxxxxs contained in this Article Four, and in view of the lack of an adequate remedy at law to protect AmeriNetColmena's interests, Mr. Last Name Wasserman hereby covenants and agrees that AmeriNet xxx xxxxxx xhat Colmena shall have the following additional rights and remedies in the event of a breach hereof: (Aa) Mr. Last Name Wasserman hereby consents to the issuance consenxx xx xxx xxxxance of a permanent injunction enjoining him from any violations of the covenants set forth in Section 4.1 hereof; and (Bb) Because it is impossible to ascertain or estimate the entire or exact cost, damage or injury which AmeriNet Colmena may sustain prior to the effective enforcement of such injunction, Mr. Last Name Wasserman hereby covenants and agrees xxx xxxxxx to pay over to AmeriNetColmena, in the event he violates the covenants and agreements contained in Section 4.2 hereof, the greater of: (1i) Any payment orcompensation or compensation of any kind received by him because of such violation before the issuance of such injunction, or (2ii) The sum of One Thousand ($1,000.00) Dollars per violation, which sum shall be liquidated damages, and not a penalty, for the injuries suffered by AmeriNet Colmena as a result of such violation, the Parties hereto agreeing that such liquidated damages are not intended as the exclusive remedy available to AmeriNet Colmena for any breach of the covenants and agreements contained in this Article Four, prior to the issuance of such injunction, the Parties recognizing that the only adequate remedy to protect AmeriNet Colmena from the injury caused by such breaches would be injunctive relief.

In view of the irreparable harm and damage which would undoubtedly occur to AmeriNet the Licensor and its clients as a result of a breach by Mr. Last Name the Licensee of the covenants or agreements contained in this Article FourThree, and in view of the lack of an adequate remedy at law to protect AmeriNetthe Licensor's interests, Mr. Last Name the Licensee hereby covenants and agrees that AmeriNet the Licensor shall have the following additional rights and remedies in the event of a breach hereof: (Aa) Mr. Last Name The Licensee hereby consents to the issuance of a permanent injunction enjoining him it from any violations of the covenants set forth in Section 4.1 hereofthis Article Three; and (Bb) Because it is impossible to ascertain or estimate the entire or exact cost, damage or injury which AmeriNet the Licensor or its clients may sustain prior to the effective enforcement of such injunction, Mr. Last Name the Licensee hereby covenants and agrees to pay over to AmeriNetthe Licensor, in the event he it violates the covenants and agreements contained in Section 4.2 hereofthis Article Three, the greater of: (1i) Any payment orcompensation or compensation of any kind received by him it because of such violation before the issuance of such injunction, or (2ii) The sum of One Thousand ($1,000.00) Dollars per violation, which sum shall be liquidated damages, and not a penalty, for the injuries suffered by AmeriNet the Licensor or its clients as a result of such violation, the Parties hereto agreeing that such liquidated damages are not intended as the exclusive remedy available to AmeriNet the Licensor for any breach of the covenants and agreements contained in this Article FourThree, prior to the issuance of such injunction, the Parties recognizing that the only adequate remedy to protect AmeriNet the Licensor and its clients from the injury caused by such breaches would be injunctive relief.
