Special Rules Required by Regulations. Notwithstanding the provisions of Section 6.1, the Company’s allocations of Profits and Losses (or items thereof) shall reflect those adjustments or modifications which the Manager reasonably deems necessary or appropriate to cause the allocations to have “substantial economic effect” as defined in applicable Treasury Regulations. Any such adjustments or modifications must be approved by the RTI Member (which approval shall not be unreasonably withheld).
