Common use of Special Voting Unit Clause in Contracts

Special Voting Unit. The special voting unit and the limited partner interest represented thereby issued by the Partnership to Ares Voting LLC, a Delaware limited liability company, has been duly authorized and validly issued, and conforms in all material respects to the description thereof contained in the Registration Statement, the Pricing Disclosure Package and the Prospectus.

Special Voting Unit. The special voting unit and the limited partner interest represented thereby to be issued by the Partnership to Ares Voting LLC, a Delaware limited liability company, on the Closing Date as described in the Registration Statement, the Pricing Disclosure Package and the Prospectus (the “Special Voting Unit”) has been duly authorized and, when issued and delivered in accordance with the terms of Partnership Agreement, will be validly issued, and conforms will conform in all material respects to the description thereof contained in the Registration Statement, the Pricing Disclosure Package and the Prospectus, and the issuance of such Special Voting Unit will not be subject to any preemptive or similar rights.
