Common use of Specific Covenants Clause in Contracts

Specific Covenants. (i) The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.10 and such failure continues for five (5) Business Days after notice thereof is provided to the Borrower by the Administrative Agent; or (ii) The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.02(d), 6.03(a), 6.03(b), 6.05(a), 6.11 or Article VII; or

Specific Covenants. (i) The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.10 and such failure continues for five (5) Business Days after notice thereof is provided to the Borrower by the Administrative Agent6.03, 6.05(a), 6.10, or 6.11 or Article VII; or (ii) The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.02(d)6.01, 6.03(a)6.02, 6.03(b), 6.05 (other than 6.05(a), 6.11 or Article VII) and such failure continues for five Business Days; or

Specific Covenants. (i) The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.10 and such failure continues for five (5) Business Days after notice thereof is provided to the Borrower by the Administrative Agent; or (ii) The Borrower 5.03, 5.05, 5.10, 5.15, or Article VI or fails to perform or observe any term, term covenant or agreement contained in any of Section 6.02(d), 6.03(a), 6.03(b), 6.05(a), 6.11 5.01 or Article VIISection 5.02(a) or (b) and such failure continues for 10 Business Days; or

Specific Covenants. (i) The Borrower fails to perform or observe (i) any term, covenant or agreement contained in Section 7.01, 7.02 or 7.03 (other than Section 7.03(a)) and such failure continues for five (5) Business Days, or (ii) any term, covenant or agreement contained in any of Section 6.10 and such failure continues for five (5) Business Days after notice thereof is provided to the Borrower by the Administrative AgentSections 7.03(a), 7.05, 7.07 or 7.08, or Article VIII; or (ii) The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.02(d), 6.03(a), 6.03(b), 6.05(a), 6.11 or Article VII; or

Specific Covenants. (i) The Any Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.10 6.03 (Notices), 6.05(a) (Preservation of Existence), or 6.11 (Use of Proceeds) or Article VII (Negative Covenants). Any Borrower fails to perform or observe any covenant contained in Section 6.02 (Certificates; Other Information) (other than the proviso in the first sentence of the penultimate paragraph thereof) and such failure continues for five (5) Business Days after notice thereof is provided to the Borrower by from the Administrative Agent; or (ii) The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.02(d), 6.03(a), 6.03(b), 6.05(a), 6.11 or Article VII; or

Specific Covenants. (i) The Borrower fails to perform or observe any term, covenant or agreement contained in any of (i) Section 6.10 and such failure continues for 6.02(a) which is not remedied within five (5) Business Days after written notice thereof is provided to the Borrower given by the Administrative Agent; or Agent or a Lender to the Borrower, or (ii) The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.02(d), 6.03(a), 6.03(b), 6.05(a), 6.11 6.03 or Article VII; or

Specific Covenants. (i) The Borrower fails to perform or observe any term, covenant or agreement contained in any of (i) Section 6.10 and such 6.01, which failure continues for more than five (5) Business Days after notice thereof is provided to the Borrower by the Administrative Agent; or date specified for performance or compliance with such term or condition or (ii) The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.02(d)6.02, 6.03(a), 6.03(b)6.03, 6.05(a), 6.11 6.10, 6.11, 6.12 or 6.13 or Article VII, other than pursuant to Sections 7.02 and 7.03; or

Specific Covenants. (i) The Borrower fails Borrowers fail to perform or observe any term, covenant or agreement contained in any of Section 6.10 6.02(a) (and any such failure continues shall continue for five (5) Business Days after notice thereof is provided to the Borrower by the Administrative Agent; (or , during a Dominion Period, three (ii3) The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.02(dBusiness Days)), 6.03(a), 6.03(b6.05(a) (solely in the case of the existence of the Borrowers), 6.05(a6.10, 6.12, 6.19(d), 6.11 6.23 or Article VIIARTICLE VII (other than with respect to tax Liens in the ordinary course of business not meeting the requirements of Section 7.01(c)); or

Specific Covenants. (i) The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.10 and such failure continues for five (5) Business Days after notice thereof is provided 6.05 with respect to the Borrower by the Administrative Agentor Sections 6.10 and 7.06; or or (ii) The the Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.02(d)Sections 7.01, 6.03(a)7.02, 6.03(b), 6.05(a), 6.11 7.03 or Article VII7.04 and such failure continues for 25 days; or

Specific Covenants. (i) The Borrower fails to perform or observe any term, covenant or agreement contained in any of Sections 7.03(a), 7.05(a), 7.11, or Article VIII (or Parent fails to perform or observe Section 6.10 and such failure continues for five (58.15) Business Days after notice thereof is provided to the Borrower by the Administrative Agent; or or (ii) The the Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.02(d7.01, 7.02(b), 6.03(a7.02(c), 6.03(b7.03(b), 6.05(a7.03(c) or 7.10 and, in the case of this clause (ii), 6.11 such default shall continue for five (5) or Article VIImore Business Days; or

Specific Covenants. (i) The Borrower fails to perform or observe any term, covenant or agreement contained in (i) Section 6.03(a), 6.05 (as to legal existence of the Borrower), Section 6.11 or Article VII; (ii) Section 6.01 and such failure shall continue unremedied or unwaived for fifteen (15) days after notice thereof by the Lender; or (iii) any of Section 6.10 6.02(a) and such failure continues shall continue unremedied or unwaived for five (5) Business Days after notice thereof is provided to the Borrower by the Administrative Agent; or (ii) The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.02(d), 6.03(a), 6.03(b), 6.05(a), 6.11 or Article VII; orLender.

Specific Covenants. (i) The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.10 6.02 (other than clauses (a) or (b) thereof) or 6.03 (other than clause (a) thereof) and such failure continues for five (5) Business Days after notice thereof is provided to the Borrower by the Administrative Agentdays; or (ii) The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.02(d6.01, 6.02(a) or (b), 6.03(a), 6.03(b), 6.05(a), 6.11 6.11, 6.12 or Article VII; or

Specific Covenants. (i) The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.10 and 6.01, 6.02, 6.03, 6.05, 6.10, 6.11, 6.12, 6.13, 6.14, 6.15, or 6.16 or Article VII; provided that with respect to any failure to perform or observe Section 6.02(b) such failure continues shall continue for five (5) Business Days after 5 days from notice thereof is provided to the Borrower by the Administrative Agent; or (ii) The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.02(d), 6.03(a), 6.03(b), 6.05(a), 6.11 or Article VII; or

Specific Covenants. (i) The Borrower fails to perform or observe any term, covenant or agreement contained in (i) Section 6.03(a), 6.05 (as to legal existence of the Borrower), Section 6.11, or Article VII; (ii) Section 6.01 and such failure shall continue unremedied or unwaived for fifteen (15) days after notice thereof by the Lender; or (iii) any of Section 6.10 6.02(a) and such failure continues shall continue unremedied or unwaived for five (5) Business Days after notice thereof is provided to the Borrower by the Administrative Agent; or (ii) The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.02(d), 6.03(a), 6.03(b), 6.05(a), 6.11 or Article VII; orLender.

Specific Covenants. (i) The Borrower fails shall fail to observe or perform or observe any termcovenant, covenant condition or agreement contained in any of (i) Section 6.10 6.1(e) and such failure continues shall continue unremedied for a period of five (5) Business Days after notice thereof is provided to the Borrower by the Administrative Agent; or days, or (ii) The Borrower fails to perform Sections 6.3, 6.8, or observe any term6.12, covenant or agreement contained in any of Section 6.02(d), 6.03(a), 6.03(b), 6.05(a), 6.11 or Article VII; or7.

Specific Covenants. (i) The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.10 and 6.01, 6.02, 6.03, 6.05, 6.10, 6.11, 6.12, 6.13, 6.14, 6.15 or 6.16 or Article VII; provided that with respect to any failure to perform or observe Section 6.02(b) such failure continues shall continue for five (5) Business Days after 5 days from notice thereof is provided to the Borrower by the Administrative Agent; or (ii) The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.02(d), 6.03(a), 6.03(b), 6.05(a), 6.11 or Article VII; or

Specific Covenants. (i) The Borrower fails to perform or observe any term, covenant covenant, or agreement contained in any of Section 6.10 and such failure continues for five (5) Business Days after notice thereof is provided to the Borrower by the Administrative Agent; or Sections 6.03, 6.11, 7.04, 7.05, 7.08, or 7.09, or (ii) The the Borrower fails to perform or observe any term, covenant covenant, or agreement contained in any of Section 6.02(dSections 6.02(e), 6.03(a6.05, or 6.10 and such failure continues for five Business Days, or (iii) the Borrower fails to perform or observe any term, covenant, or agreement contained in any of Sections 6.01 or 6.02(a), 6.03(b(b), 6.05(aor (c), 6.11 and such failure continues for five Business Days after the earlier of the date a Responsible Officer of the Borrower has knowledge of such failure or Article VIIwritten notice thereof to the Borrower from the Administrative Agent or any Lender; or

Specific Covenants. (i) The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.10 and such failure continues for five (5) Business Days after notice thereof is provided to the Borrower by the Administrative Agent6.03, 6.05(a), 6.10, 6.12 or Article VII ; or or (ii) The Borrower fails to perform or observe any term, covenant or agreement contained in any either of Section 6.02(d), 6.03(a), 6.03(b), 6.05(a), 6.11 6.01 or Article VII; or6.02 and such failure continues for 5 days after the earlier of a Loan Party receiving notice of such failure or a Responsible Officer of the Borrower obtaining knowledge of such failure;

Specific Covenants. (i) The Any Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.10 6.03, Section 6.05(a) or Article VII. Any Borrower fails to perform or observe any covenant contained in Section 6.02 (Certificates; Other Information) (other than the proviso in the first sentence of the penultimate paragraph thereof) or Section 6.12 and such failure continues for five (5) Business Days after notice thereof is provided to the Borrower by from the Administrative Agent; or (ii) The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.02(d), 6.03(a), 6.03(b), 6.05(a), 6.11 or Article VII; or

Specific Covenants. (i) The Borrower fails shall fail to observe or perform or observe any termcovenant, covenant condition or agreement contained in any of Section 6.10 (i) Sections 6.1(a), (b), (d), (e), and (f) and such failure continues shall continue unremedied for a period of five (5) Business Days after notice thereof is provided to the Borrower by the Administrative Agent; or Days, or (ii) The Borrower fails to perform Sections 6.3, 6.8, or observe any term6.12, covenant or agreement contained in any of Section 6.02(d), 6.03(a), 6.03(b), 6.05(a), 6.11 or Article VII; or7.

Specific Covenants. (i) The Borrower or any of its Subsidiaries fails to perform or observe any term, covenant or agreement contained in any of (i) Section 6.10 6.03(b), 6.05 (solely with respect to the legal existence of the Borrower) or 6.11 or Article VII and such failure continues for five (5) consecutive Business Days after notice thereof is provided to the Borrower by the Administrative Agent; or Days, or (ii) The Borrower fails to perform Section 6.03(a) or observe any term, covenant or agreement contained in any of Section 6.02(d), 6.03(a), 6.03(b), 6.05(a), 6.11 or Article VII6.03(d) and such failure continues for fifteen (15) consecutive Business Days; or

Specific Covenants. (i) The Borrower fails to perform or observe (i) any term, covenant or agreement contained in any of Section 6.10 and such failure continues for five 6.05 (5) Business Days after notice thereof is provided with respect to existence of the Borrower by the Administrative Agent; or only), 6.11 or Article VII or (ii) The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.02(d)Sections 6.01, 6.02 or 6.03(a), 6.03(b(b), 6.05(a), 6.11 (c) or Article VII(e) and such failure continues for ten or more days; or

(i) The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.10 and such failure continues for five (5) Business Days after notice thereof is provided to the Borrower by the Administrative Agent6.01(a), 6.03, 6.10, 6.12 or Article VII; or or (ii) The Borrower fails to perform or observe any term, covenant or agreement contained specified in any Section 6.01(b) or 6.02 and such failure continues to a period of Section 6.02(d), 6.03(a), 6.03(b), 6.05(a), 6.11 or Article VIIfive (5) days after written notice thereof by Agent to Borrower; or

(i) The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.10 and such failure continues for five (5) Business Days after notice thereof is provided to the Borrower by the Administrative Agent; or 6.01(a), 6.11 or Article VII or (ii) The the Borrower fails to perform or observe any term, covenant covenant, or agreement contained specified in any of Section 6.02(d6.01(b), 6.03(a), 6.03(b), 6.05(a), 6.11 6.02 or Article VII6.03 and such failure shall continue for a period of five days after written notice from the Administrative Agent to the Borrower; or

(i) The Borrower fails to perform or observe any term, covenant or agreement contained in any of (i) Sections 6.01 and Section 6.10 6.02(b), and such failure continues shall continue unremedied for a period of five (5) Business Days after notice thereof is provided to the Borrower by the Administrative Agent; or days, (ii) The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.02(d)Sections 6.02, 6.03(a), 6.03(b), 6.05(a), 6.11 6.11, 6.12 (solely with respect to Material Subsidiaries) or Article VII; or

(i) The Borrower fails to perform or observe any term, covenant or agreement contained in any of (i) Section 6.10 6.01 or 6.02 (a) and such failure continues for five (5) Business Days after notice thereof is provided to the Borrower by the Administrative Agent; or days, or (ii) The Borrower fails to perform Section 6.03 or observe any term, covenant or agreement contained in any of Section 6.02(d), 6.03(a), 6.03(b), 6.05(a), 6.11 or Article VII; or

(i) The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.10 2.09(b) (and such failure continues for five three (53) Business Days after notice thereof is provided to the Borrower by the Administrative Agent; or Days), 2.10(a) (and such failure continues for three (3) Business Days), Article VI, Article VII, or (ii) The the Borrower fails to perform or observe any term, covenant or agreement contained in the Security Agreement after giving effect to any of Section 6.02(d), 6.03(a), 6.03(b), 6.05(a), 6.11 notice or Article VIIgrace periods applicable thereto; or

(i) The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.10 7.01, 7.02 or 7.03 of the Incorporated Covenants and such failure continues for five (5) Business Days after notice thereof is provided to the Borrower by the Administrative AgentDays; or (ii) The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.02(d6.02 or 6.03 hereof or Section 7.05(a), 6.03(a)7.10, 6.03(b)7.12 of the Incorporated Covenants, 6.05(a), 6.11 or Article VIIVIII of the Incorporated Covenants; or

The Borrower (i) The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.10 and such failure continues for five Sections 6.03(a), 6.05 (5) Business Days after notice thereof is provided with respect to the Borrower by existence of the Administrative AgentBorrower), 6.11 or 6.12(e) or Article VII; or or (ii) The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.02(d), 6.03(a), Sections 6.03(b), 6.05(a), 6.11 or Article VII) through (f) and such failure continues for five Business Days; or

(i) The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.10 and such failure continues for five (5) Business Days after notice thereof is provided to the Borrower by the Administrative Agent; or (ii) The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.02(d), 6.03(a), 6.03(b), 6.05(a), 6.11 or Article VII; or

Specific Covenants. (i) The Borrower fails shall fail to perform or observe any term, covenant or agreement contained in any of Sections 2.4, 2.7, 5.1 or Section 6.10 6 and such failure continues for five (5) Business Days after notice thereof is provided to the Borrower by the Administrative AgentDays; or (ii) The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.02(d), 6.03(a), 6.03(b), 6.05(a), 6.11 or Article VII; or

Specific Covenants. (i) The Borrower fails to perform or observe any term, covenant or agreement contained in any of (i) Section 6.10 6.03, 6.05, 6.06, 6.07, 6.10, 6.14 or 6.18 or Article VII; or (ii) Section 6.01 or 6.02 and such failure continues for five (5) Business Days after the earlier of (A) the Borrower’s receipt of written notice thereof is provided to the Borrower by from the Administrative AgentAgent or (B) any Loan Party obtains knowledge thereof; or (ii) The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.02(d), 6.03(a), 6.03(b), 6.05(a), 6.11 or Article VII; or

Specific Covenants. (i) The Borrower fails to perform or observe any term, covenant covenant, or agreement contained in any of Section 6.10 and such failure continues for five (5) Business Days after notice thereof is provided to the Borrower by the Administrative Agent; or Sections 2.03(g), 6.03, 6.11, 7.04, 7.05, 7.08, or 7.09, or (ii) The the Borrower fails to perform or observe any term, covenant covenant, or agreement contained in any of Section 6.02(dSections 6.02(e), 6.03(a6.05, or 6.10 and such failure continues for five Business Days, or (iii) the Borrower fails to perform or observe any term, covenant, or agreement contained in any of Sections 6.01 or 6.02(a), 6.03(b(b), 6.05(aor (c), 6.11 and such failure continues for five Business Days after the earlier of the date a Responsible Officer of the Borrower has knowledge of such failure or Article VIIwritten notice thereof to the Borrower from the Administrative Agent or any Lender; or

(i) The Borrower fails to perform or observe any term, covenant or agreement contained in any of Section 6.10 and such failure continues for five 6.01 (5) Business Days after notice thereof is provided to the Borrower by the Administrative Agent; or a), 6.11 or Article VII or (ii) The the Borrower fails to perform or observe any term, covenant covenant, or agreement contained specified in any of Section 6.02(d6.01(b), 6.03(a), 6.03(b), 6.05(a), 6.11 6.02 or Article VII6.03 and such failure shall continue for a period of five days after written notice from the Administrative Agent to the Borrower; or

(i) The Borrower fails shall fail to observe or perform or observe any termcovenant, covenant condition or agreement contained in any of (i) Section 6.10 6.1(c) and such failure continues shall continue unremedied for a period of five (5) Business Days after notice thereof is provided to the Borrower by the Administrative Agent; or days, or (ii) The Borrower fails to perform Sections 6.3, 6.8, or observe any term6.12, covenant or agreement contained in any of Section 6.02(d), 6.03(a), 6.03(b), 6.05(a), 6.11 or Article VII; or7.
