The "Specifications and Design" clause defines the standards, requirements, and detailed plans that a project or product must adhere to during its development. SPECIFICATIONS AND DESIGN. 12.1. The Consultant shall prepare all the specifications and designs using systems which are generally accepted and acknowledged, acceptable by PRASA, and taking into consideration the latest standards in terms of design elaboration.
12.2. The Consultant shall make sure that the specifications and designs and all the documents related to the procurement of products and services under the project are prepared based on impartial criteria, with a view to promoting the competitiveness among bidders.
SPECIFICATIONS AND DESIGN. No modifications to the specification or design of a Product listed on a PA identified in Exhibit A will be made without UNIVERSAL'S prior written consent. UNIVERSAL agrees to accommodate the change within twelve months of notification.

7.2 The Seller reserves the right at any time and from time to time to discontinue the manufacture or sale of any Products. In such case, the Seller shall use its reasonable efforts to give the Purchaser at least one (1) year prior written notice, and the Seller shall be responsible for the continuous supply of any parts for such discontinued Products for eight (8) years after such prior written notice.
