Common use of Standards Bodies Clause in Contracts

Standards Bodies. Neither the Company nor any of its Subsidiaries is, nor has ever been, a member or promoter of, or a contributor to, any industry standards body or any similar organization that requires or obligates the Company or its Subsidiaries to grant or offer to any other Person any license or right to any Company Owned IP. Neither the Company nor any of its Subsidiaries is a party to any Contract with a standards body or any similar organization involving the license to the Company or its Subsidiaries of “standards essential” Technology or Intellectual Property Rights, and neither the Company nor any Subsidiary has reasonable basis to believe that in the absence of such Contract, it has any Liability therefor.

Neither the No Acquired Company nor any of its Subsidiaries is a party to any Contract with a standards body or any similar organization involving the license to the such Acquired Company or its Subsidiaries of “standards essential” Technology or Intellectual Property Rights, and neither the no Acquired Company nor any Subsidiary has reasonable basis to believe that in the absence of such Contract, it has any Liability therefor.
