Standing and Capacity. Purchaser has the capacity and all necessary power and authority necessary to enter into this Agreement and perform all its obligations hereunder.
Standing and Capacity. Such party has the right, power, legal capacity and authority to enter into this Agreement, the Amended and Restated Partnership Agreement and each of the other agreements to be executed and delivered by it or him pursuant hereto and to carry out his or its respective obligations hereunder and thereunder. Standing and Capacity. The LCS Governing Board and its delegates shall have standing and capacity to enter into and enforce any of the terms of this Contract on behalf of LCS. Any action by the LCS Governing Board on behalf of LCS shall be limited to enforcing the terms of this Contract and recovering the amounts provided for herein and shall not include any action or proceeding for other amounts or damages.

The Horizons Council, or substitute governing body approved by the School District, shall have standing and capacity to enter into and enforce any of the terms of this Contract on behalf of Horizons. Any action by Horizons’ representative body on behalf of Horizons shall be limited to enforcing the terms of this Contract and recovering the amounts provided for herein and shall not include any action or proceeding for other amounts or damages.

Standing and Capacity. (a) Olympus represents and warrants to Unigene that it has all requisite legal and corporate power to execute and deliver this Agreement and the other Documents to which it is a party, to purchase the Debentures, and to perform its obligations under this Agreement and the other Documents to which it is a party. Olympus has the capacity to enter into the transactions contemplated by the Documents; neither the execution, delivery nor performance of this Agreement or the Documents violates any law, rule or regulation, of any jurisdiction, court or administrative judgment, order or decree or any agreement applicable to or binding upon Olympus.
