Common use of Stated Capital Clause in Contracts

Stated Capital. (a) Upon the Amalgamation, Amalco shall add to the stated capital account maintained in respect of the Amalco Shares an amount equal to the aggregate paid up capital for purposes of the Tax Act of the Newco Shares and the Interrobang Shares immediately before the Effective Time.

Stated Capital. (a) Upon On the Amalgamation, Amalco shall add to the stated capital account maintained in respect of by Amalco for the Amalco Shares an amount equal to the aggregate paid up capital for purposes of (i) the amount of the Tax Act stated capital account maintained by Pxxxxx Dodge Subco in respect of the Newco Shares and the Interrobang Shares common shares of Pxxxxx Dodge Subco immediately before prior to the Effective TimeTime and (ii) the amount described in section 3.2(d) hereto.
