Common use of Statement of Expenses Clause in Contracts

Statement of Expenses. At the Closing, the Company shall provide Parent with a statement of Third Party Expenses incurred by the Company prior to the Closing Date (the “Statement of Expenses”).

Statement of Expenses. At Prior to the Closing, the Company shall provide deliver to Parent with a statement of that sets forth all Third Party Expenses that are unpaid as of the Closing, or anticipated to be incurred or payable by or on behalf of the Company prior to or any Subsidiary after the Closing Date and wire instructions for each payment to be made at or after the Closing (the “Statement of Expenses”). Without limitation to any other provision of this Agreement, in making any payment in respect of any unpaid Third Party Expenses at the Closing and in calculating the Closing Net Working Capital, Parent shall be entitled to rely on the Statement of Expenses.
