Statutory Requirements and Regulatory Approval. All statutory requirements under Section 112 or the LBCL and Section 1358-1360 of the LLCL for valid consummation of the Merger shall have been fulfilled and all appropriate orders, consents and approvals from all regulatory agencies and other governmental authorities whose order, consent or approval is required by law for the consummation of the Merger shall have been received.
