Party A agrees to transfer its 11.016 million shares of the stock of Sinovac to Party B for the price of $0.9706 million USD pursuant to the terms and conditions of this agreement. Party B agrees to accept the 11.016 million shares (8.25 %) of the stock of Sinovac owned by Party A for the price of $0.9706 million USD.

Party B agrees D agree to accept the 11.016 57.12 million shares (8.25 42.75%) of the stock of Sinovac owned by Party A for A, Party B, and Party C with the price of $0.9706 5.0294 million USD.
