Prior to the Effective Time, the Acquired Fund shall have made arrangements with its transfer agent to deliver to the Acquiring Fund a list of the names and addresses of all of the holders of record of Acquired Fund Common Shares at the Effective Time and the respective number of shares of Acquired Fund Common Shares owned by each such stockholder, certified by the Acquired Fund’s transfer agent or President to the best of their knowledge and belief.
