Stockholders Agreement Amendment. The Company, Xxxxx Xxxxxxx, -------------------------------- Xxxxx Xxxxxxx, Xxxxxxx X. Xxxxxxxx and Xxxxx Xxxxx and the other stockholders party thereto shall have duly executed and delivered the Stockholders Agreement Amendment.

Stockholders Agreement Amendment. The Stockholders’ Agreement Amendment does not materially and disproportionately adversely affect a Stockholder (as defined in the Stockholders’ Agreement) that is not a party to the Stockholders’ Agreement Amendment in a materially different manner than all of the other Stockholders.
Stockholders Agreement Amendment. The Put Holder and the Call Holder agree to be party to and to execute such amendments to the Stockholders Agreement (or a restated and amended Stockholders Agreement, as the case may be) as may be necessary (a) to memorialize the Put Holder's and the Call Holder's agreement to assign their right to designate any members of the Board to the Company pursuant to Sections 8.01 and 8.02 hereof and (b) to carry out the intent and purposes of this Agreement and the transactions contemplated hereby.
Stockholders Agreement Amendment. In accordance with Section 18 of the Stockholders Agreement, the parties to this Agreement hereby approve the following amendment and waiver with respect to the Stockholders Agreement:

An Amendment No. 4 to the Stockholders Agreement dated as of August 17, 1999 among the Company and the “Stockholders” named therein (the “Stockholders Agreement”) substantially in the form of Exhibit A hereto (the “Stockholders Agreement Amendment”) shall have been executed and delivered by the (i) Company, and (ii) other applicable shareholders of the Company.
Stockholders Agreement Amendment. The Stockholders Agreement Amendment shall have been executed and delivered by the (i) Purchaser and (ii) other applicable shareholders of the Company.
