Amendments to the Stockholders Agreement. Effective on the date hereof, the Stockholders Agreement is hereby amended as follows:
Amendments to the Stockholders Agreement. Pursuant to Section 8.6 of the Agreement, Paragraph 4.3.2(a) of the Agreement is hereby deleted in its entirety and replaced with the following:

Co-Investment Partners II, L.P.” “CalSTRS: CalSTRS shall mean California State Teachers’ Retirement System.”
Amendments to the Stockholders Agreement. 13.1 Recital B of the Stockholders Agreement is amended and restated to read: “Pursuant to the terms of that certain Master Note Purchase Agreement, dated as of April 15, 2022, by and among the Company, the Stockholder and the Collateral Agent (as defined therein) (as the same may be amended or modified from time to time in accordance with its terms, the “Purchase Agreement”), [●], an Affiliate of the Stockholder, acquired and may in the future acquire from the Company (i) the Commitment Shares (as defined therein), (ii) one or more Warrants (as defined therein), and (iii) the Conversion Shares (as defined therein, and collectively with the Commitment Shares and the shares of Common Stock issuable upon exercise of the Warrants, the “New Securities”)”.

During the term of this Agreement, each of the parties hereto that is a party to the Stockholders' Agreement (i) will not enter into any amendment or supplement to the Stockholders' Agreement, or into any other arrangement with any other person, that would be contrary to or inconsistent with the provisions of this Agreement and RTFC's rights hereunder, and (ii) will promptly give RTFC notice of any amendment or supplement to the Stockholders' Agreement or any other arrangement known to such party relating to or affecting the voting of shares of ATN Common Stock.
