Common use of STOCKHOLDERS' RELEASE Clause in Contracts

STOCKHOLDERS' RELEASE. The STOCKHOLDERS shall have delivered to URSI immediately prior to the Pricing Date an instrument dated the Pricing Date releasing the COMPANY from any and all claims of the STOCKHOLDERS against the COMPANY and obligations of the COMPANY to the STOCKHOLDERS, except for items specifically identified on Schedules 5.10 and 5.15 as being claims of or obligations to the STOCKHOLDERS and continuing obligations to STOCKHOLDERS relating to their employment by the Surviving Corporation.
