Stripe Contract Sample Clauses

Stripe Contract. Unless otherwise agreed to in writing by the Agent in its sole discretion, (i) utilize any services provided by Stripe other than the services specified in the Commercial Credit Card Program Agreement (provided that, for avoidance of doubt, (x) any such services shall be used by Shop PO, LLC solely for purposes of making payments to certain of its vendors and not for purposes of collecting or processing payments made by any of its customers or any other Person and (y) no Loan Party shall engage in the Stripe Issuing Spend Card Program (as defined in the Stripe Spend Card Program Agreement) or any Acquired Transaction (as defined in the Stripe Commercial Card Program Agreement)), (ii) permit, whether by action or inaction, the aggregate amount of funds held in the Stripe Blocked Account to exceed $500,000 or allow funds (including, without limitation, cash reserves or other amounts) held by Stripe, on account of any Loan Party) to exceed $500,000, (iii) except to the extent any Loan Party shall be deemed to have granted a security interest in the Stripe Blocked Account or Stripe Deposit in favor of Stripe pursuant to the Stripe arrangements, as in effect on the Fourteenth Amendment Effective Date, the Loan Parties shall not ▇▇▇▇▇ ▇ ▇▇▇▇ in favor of Stripe in any of the Loan Parties’ assets, and, in all events, shall not execute or deliver any documents in favor of Stripe (including, without limitation, any UCC financing statements), the result of which would cause Stripe to have a perfected security interest in the Stripe Blocked Account or any other assets of such Loan Party, or (iv) authorize Stripe to debit or otherwise withdraw funds from any DDA owned by the Loan Party.
