Sub-Contracting/Outsourcing Clause Samples
The Sub-Contracting/Outsourcing clause defines whether and under what conditions a party to the contract may delegate its obligations or services to third parties. Typically, this clause outlines if prior written consent is required before subcontracting, specifies any restrictions on the types of work that can be outsourced, and may require the main contractor to remain liable for the performance of the subcontractor. Its core practical function is to control and manage the risks associated with third-party involvement, ensuring that the quality and accountability of contract performance are maintained.
Sub-Contracting/Outsourcing. 4.13.1 Any agreement resulting from this procurement exercise will specifically be with the Contractor, and will require the performance of the service to be provided by the agreed experts of the Contractor as specified in the tender response. Any further sub contracting and/or out-sourcing of work post Framework award shall require the Client’s express approval.
