Common use of SUBCONTRACT AND ASSIGNMENT Clause in Contracts

SUBCONTRACT AND ASSIGNMENT. ‌ a) CONTRACTOR shall not assign or enter into subcontracts for any of the services contemplated, including transportation, under this Contract without first obtaining written approval from SELPA. Such subcontract(s) or assignment(s) and approval(s) shall be attached and made part of this Contract. b) CONTRACTOR agrees that its subcontractors and assignees shall keep in effect a policy or policies of liability insurance acceptable to SELPA. CONTRACTOR shall submit proof of insurance to SELPA prior to any SUBCONTRACTOR’S commencement of services, and CONTRACTOR shall ensure that insurance providers give SELPA written notice at least thirty (30) days prior to cancellation or material change in coverage. As a condition of subcontracting or assignment, subcontractors/assignees shall also provide satisfactory proof of insurance and endorsements as set forth in Section T, above. c) CONTRACTOR agrees that subcontractors providing transportation shall keep in effect a liability insurance policy providing a limit of at least $2,000,000. CONTRACTOR shall submit proof of insurance upon SUBCONTRACTOR’S renewal of coverage. Transportation SUBCONTRACTORS shall submit copies of insurance policies upon request of SELPA; otherwise, certificates of insurance may be acceptable proof of insurance, provided that the information thereon complies with this provision and is verifiable.
