Buyer’s Responsibility. Buyer shall obtain and maintain all distribution, transmission and interconnection rights and agreements (including all Governmental Authority approvals) required to enable transmission and delivery of electric energy at and after the Delivery Point.
Buyer’s Responsibility. Except to the extent of Seller's or its Affiliates', or their respective officers', directors', employees', agents' or subcontractors', gross negligence or willful misconduct, and subject to Sections 10.2 and 10.3, Buyer shall be responsible for all physical damage to or destruction of property, equipment and/or facilities owned by Buyer and/or its Affiliates, employees, agents, or subcontractors, regardless of who brings the claim and regardless of who caused the damage and Buyer shall not seek recovery or reimbursement from Seller for such damage.
Buyer’s Responsibility. The Buyer agrees to pay the Seller a total sum of $ . This fee does not include shipping. If shipping is required, the Buyer agrees to pay $ for shipping, which includes a travel crate and a health certificate.
Buyer’s Responsibility. 7.1 The selection of the Goods suitable for the Buyer’s purposes depends on a variety of factors. These factors include, but are not limited to, on-site conditions or other circumstances of the proposed application of the Goods known only to the Buyer. The Buyer is solely responsible for satisfying itself that the data supplied to the Company on which information or recommendations made by the Company are based is correct and that any assumptions made by the Company to supplement that data are suitable for the Buyer’s purposes.
7.2 The Company accepts no responsibility of any nature whatsoever for information or advice it supplies, where any data supplied by the Buyer is incorrect or where any assumption which the Company has made is unsuitable for the Buyer’s purposes. The Buyer is encouraged to raise with the Company any questions it may have.
Buyer’s Responsibility. Buyer shall use its best efforts to cooperate with Seller in connection with Xxxxxx’s carrying out its duties hereunder, and Xxxxx shall refrain from any act or omission that could frustrate Seller’s performance. Buyer shall designate one employee for each location at which services may be rendered under this Agreement, with full authority to act for Buyer in the event that Buyer’s input is required regarding such services. If Seller agrees to provide services at Buyer’s property, Buyer shall maintain sufficient insurance coverage to protect the property and Seller.
Buyer’s Responsibility. During the Services Term, Buyer shall arrange, schedule and be responsible for electric transmission service and any and all costs or charges imposed on or associated with the Products or its receipt of the Products, including electric transmission costs, transmission losses, congestion costs and all risks and costs associated with any transmission outages or curtailment, from and after the CAISO Interconnection Point. For the avoidance of doubt, Buyer shall also be responsible for (or receive the benefit of) the difference between metered Energy at the Electrical Delivery Point and the Energy deemed delivered to the CAISO at the Electrical Delivery Point after application of the Generation Meter Multiplier, as set forth in Section 4.3.(a)(v) [Note: For renewable resources not interconnected with the CAISO Grid, this last sentence may require modification.]
Buyer’s Responsibility. If the Property is located in a jurisdiction that requires a certificate of occupancy, smoke detector certification, septic certification or any similar certification or permit or any form of improvement or repair to the Property (collectively, “Permits and Repairs”), Buyer acknowledges and agrees that Buyer shall be responsible for obtaining any and all of the Permits and Repairs at Buyer's sole cost and expense, including but not limited to any certificate of use or other certification required by the ordinance.
Buyer’s Responsibility. During the Delivery Term, Buyer shall arrange, schedule and be responsible for electric transmission service and any costs or charges imposed on or associated with the Product or its receipt of the Product with respect to Scheduled Operations from the Electrical Delivery Point, including electric transmission costs, transmission losses, congestion costs and all risks and costs associated with any transmission outages or curtailment.
Buyer’s Responsibility. Buyer will be responsible for ensuring BFE data is provided to Boeing by the BFE supplier in a format acceptable to Boeing for BFE not covered by 3.
Buyer’s Responsibility. Repairs, replacements and treatments to the Property after date of closing or 388 BUYER’s possession, whichever occurs first, will be BUYER's responsibility unless otherwise agreed in 389 writing.
