Common use of Subcontractor / Supplier Contracts Clause in Contracts

Subcontractor / Supplier Contracts. The General Contractor shall enter into written contracts with its subcontractors and suppliers, and those written contracts shall be consistent with this Agreement. It is the intent of the Owner and the General Contractor that the obligations of the General Contractor’s subcontractors and suppliers inure to the benefit of the Owner and the General Contractor, and that the Owner be a third-party beneficiary of the General Contractor’s agreements with its subcontractors and suppliers. 4.2.1 The General Contractor shall make available to each subcontractor and supplier, prior to the execution of written contracts with any of them, a copy of the pertinent portions of this Agreement, including those portions of the Construction Documents to which the subcontractor or supplier will be bound, and shall require that each subcontractor and supplier shall similarly make copies of applicable parts of such documents available to its respective subcontractors and suppliers. 4.2.2 The General Contractor shall include in its written contracts with its subcontractors and suppliers a provision which contains the acknowledgment and agreement of the subcontractor or supplier that it has received and reviewed the applicable terms, conditions and requirements of this Agreement that are included by reference in its written contract with the General Contractor, and that it will abide by those terms, conditions and requirements. 4.2.3 The General Contractor’s written contracts with its subcontractors and suppliers shall preserve and protect the rights of the Owner and include the acknowledgment and agreement of each subcontractor or supplier that the Owner is a third-party beneficiary of the contract. The General Contractor’s agreements with its subcontractors and suppliers shall require that in the event of default under, or termination of, this Agreement, and upon request of the Owner, the General Contractor’s subcontractors and suppliers will perform services for the Owner.
