Common use of Subcontractor Clause in Contracts

Subcontractor. Any vendor, subcontractor or other Person that is not responsible for the overall servicing (as “servicing” is commonly understood by participants in the mortgage-backed securities market) of Mortgage Loans but performs one or more discrete functions identified in Item 1122(d) of Regulation AB with respect to Mortgage Loans under the direction or authority of the Servicer or a Subservicer.

Subcontractor. Any vendor, subcontractor or other Person that is not responsible for the overall servicing (as “servicing” is commonly understood by participants in the mortgage-backed securities market) of Mortgage Loans but performs one or more discrete functions identified in Item 1122(d) of Regulation AB with respect to Mortgage Loans under the direction or authority of the any Servicer (or a SubservicerSubservicer of any Servicer), the Master Servicer, the Trustee or the Custodian.

Subcontractor. Any vendor, subcontractor or other Person that is not responsible for the overall servicing (as “servicing” is commonly understood by participants in the mortgage-backed securities market) of the Mortgage Loans but performs one or more discrete functions identified in Item 1122(d) of Regulation AB with respect to the Mortgage Loans under the direction or authority of the Servicer or a related Subservicer.

Subcontractor. Any vendor, subcontractor or other Person that is not responsible for the overall servicing (as “servicing” is commonly understood by participants in the mortgage-backed securities market) of Mortgage Loans but performs one or more discrete functions identified in Item 1122(d) of Regulation AB with respect to Mortgage Loans under the direction or authority of the Servicer Seller or a Subservicer.

Subcontractor. Any vendor, subcontractor or other Person that is not responsible for the overall servicing (as “servicing” is commonly understood by participants in the mortgage-backed securities market) of Mortgage Loans but performs one or more discrete functions identified in Item 1122(d) of Regulation AB with respect to Mortgage Loans under the direction or authority of the Servicer Company or a Subservicer.

Subcontractor. Any vendor, subcontractor or other Person (determined solely by the Servicer in compliance with Regulation AB) that is not responsible for the overall servicing (as “servicing” is commonly understood by participants in the mortgage-backed securities market) of the Mortgage Loans but performs one or more discrete functions identified in Item 1122(d) of Regulation AB with respect to the Mortgage Loans under the direction or authority of the Servicer or a related Subservicer.

Subcontractor. Any vendor, subcontractor or other Person that is not responsible for the overall servicing (as “servicing” is commonly understood by participants in the mortgage-backed securities market) of the Mortgage Loans but performs one or more discrete functions identified in Item 1122(d) of Regulation AB with respect to the Mortgage Loans as determined solely by and under the direction or authority of the Servicer or a related Subservicer.

Subcontractor. Any vendor, subcontractor or other Person that is not responsible for the overall servicing (as “servicing” is commonly understood by participants in the mortgage-backed securities market) of the Mortgage Loans but performs one or more discrete functions identified in Item 1122(d) of Regulation AB with respect to the Mortgage Loans under the direction or authority of the Special Servicer or a related Subservicer.

Subcontractor. Any vendor, subcontractor or other Person that is not responsible for the overall servicing (as “servicing” is commonly understood by participants in the mortgage-backed securities market) of Mortgage Loans but performs one or more discrete functions identified in Item 1122(dl122(d) of Regulation AB with respect to Mortgage Loans under the direction or authority of the Servicer Company or a Subservicer.

Subcontractor. Any vendor, subcontractor or other Person that (i) is a Servicing Function Participant and (ii) is not responsible for the overall servicing (as “servicing” is commonly understood by participants in the mortgage-backed securities market) of Mortgage Loans but performs one or more discrete functions identified in Item 1122(d) of Regulation AB with respect to Mortgage Loans under the direction or authority of the any Servicer (or a SubservicerSub-Servicer of any Servicer), the Master Servicer, the Trustee or the Securities Administrator.

Subcontractor. Any vendor, subcontractor or other Person that is not responsible for the overall servicing (as “"servicing” " is commonly understood by participants in the mortgage-backed securities market) of Mortgage Loans but performs one or more discrete functions identified in Item 1122(d) of Regulation AB with respect to Mortgage Loans under the direction or authority of the Servicer or a Subservicer.

Subcontractor. Any vendor, subcontractor or other Person that is not responsible for the overall servicing (as “servicing” is commonly understood by participants in the mortgage-backed securities market) of Mortgage Loans but performs one or more discrete functions identified in Item 1122(d) of Regulation AB with respect to Mortgage Loans under the direction or authority of any Servicer (including a Sub-Servicer of any Servicer), the Servicer Securities Administrator, the Master Servicer, the Trustee or a Subservicerany Custodian, as the case may be.

Subcontractor. Any vendor, subcontractor or other Person that is not responsible for the overall servicing (as “servicing” is commonly understood by participants in the mortgage-backed securities market) of Mortgage Loans but performs one or more discrete functions identified in Item 1122(d) of Regulation AB with respect to Mortgage Loans under the direction or authority of the Servicer Company or a Subservicer, provided that this term shall not include the Owner, an Affiliate of the Owner or originators of Mortgage Loans acquired by the Company from the Owner or an Affiliate of the Owner.

Subcontractor. Any vendor, subcontractor or other Person that is not responsible for the overall servicing (as “servicing” is commonly understood by participants in the mortgage-backed securities market) of Mortgage Loans but performs one or more discrete functions identified in Item 1122(d) of Regulation AB with respect to the Mortgage Loans under the direction or authority of the Servicer Master Servicer, a Subservicer or a Subservicerthe Trustee, as the case may be.

Subcontractor. Any third-party or Affiliated vendor, subcontractor or other Person utilized by the Servicer, a Subservicer, the Custodian or the Trustee, as applicable, that is not responsible for the overall servicing (as “"servicing” " is commonly understood by participants in the mortgage-backed securities market) of Mortgage Loans but performs one or more discrete functions identified in Item 1122(d) of Regulation AB with respect to Mortgage Loans under the direction or authority any of the Servicer or a SubservicerMortgage Loans.

Subcontractor. Any vendor, subcontractor or other Person that is not responsible for the overall servicing (as “servicing” is commonly understood by participants in the mortgage-backed securities market) of Mortgage Loans but performs one or more discrete functions identified in Item 1122(dl122(d) of Regulation AB with respect to Mortgage Loans under the direction or authority of the Servicer Company or a Subservicer, provided that this term shall not include the Purchaser, an affiliate of the Purchaser or originators of Mortgage Loans acquired by the Company from the Purchaser or an affiliate of the Purchaser.

Subcontractor. Any vendor, subcontractor or other Person that is not responsible for the overall servicing (as “servicing” is commonly understood by participants in the mortgage-backed securities market) of Mortgage Loans but performs one or more discrete functions identified in Item 1122(d) of Regulation AB with respect to Mortgage Loans under the direction or authority of any Servicer (or a Subservicer of any Servicer), the Master Servicer or a Subservicerthe Securities Administrator.

Subcontractor. Any third-party or Affiliated vendor, subcontractor or other Person utilized by the Servicer, a Subservicer or the Trustee, as applicable, that is not responsible for the overall servicing (as “"servicing” " is commonly understood by participants in the mortgage-backed securities market) of Mortgage Loans but performs one or more discrete functions identified in Item 1122(d) of Regulation AB with respect to Mortgage Loans under the direction or authority any of the Servicer or a SubservicerMortgage Loans.

Subcontractor. Any third-party or Affiliated vendor, subcontractor or other Person utilized by the Servicer, that is not responsible for the overall servicing (as “servicing” is commonly understood by participants in the mortgage-backed securities market) of Mortgage Loans but performs one or more discrete functions identified in Item 1122(d) of Regulation AB with respect to Mortgage Loans under the direction or authority of the Servicer or a SubservicerLoans.

Subcontractor. Any vendor, subcontractor or other Person that (i) is a Servicing Function Participant and (ii) is not responsible for the overall servicing (as “servicing” is commonly understood by participants in the mortgage-backed securities market) of Mortgage Loans but performs one or more discrete functions identified in Item 1122(d) of Regulation AB with respect to Mortgage Loans under the direction or authority of the any Servicer (or a SubservicerSub-Servicer of any Servicer), the Master Servicer, the Trustee, either Custodian or the Securities Administrator.

Subcontractor. Any vendor, subcontractor or other Person that (i) is a Servicing Function Participant and (ii) is not responsible for the overall servicing (as “servicing” is commonly understood by participants in the mortgage-backed securities market) of Mortgage Loans but performs one or more discrete functions identified in Item 1122(d) of Regulation AB with respect to Mortgage Loans under the direction or authority of the a Servicer (or a SubservicerSub-Servicer of any Servicer), the Master Servicer, the Trustee or the Securities Administrator.

Subcontractor. Any vendor, subcontractor or other Person that (i) is a Servicing Function Participant and (ii) is not responsible for the overall servicing (as “servicing” is commonly understood by participants in the mortgage-backed securities market) of Mortgage Loans but performs one or more discrete functions identified in Item 1122(d) of Regulation AB with respect to Mortgage Loans under the direction or authority of the any Servicer (or a SubservicerSub-Servicer of any Servicer), the Master Servicer, the Trustee, the Custodian or the Securities Administrator.

Subcontractor. Any vendor, subcontractor or other Person that is not responsible for the overall servicing (as “servicing” is commonly understood by participants in the mortgage-backed securities market) of Mortgage Loans but performs one or more discrete functions identified in Item 1122(d) of Regulation AB with respect to Mortgage Loans under the direction or authority of the Servicer Seller or a Subservicer. Trustee: HSBC Bank USA, National Association, a national banking association, or its successors in interest, or any successor trustee.

Subcontractor. Any third-party or Affiliated vendor, subcontractor or other Person utilized by the Servicer, a Subservicer or the Securities Administrator, as applicable, that is not responsible for the overall servicing (as “"servicing” " is commonly understood by participants in the mortgage-backed securities market) of Mortgage Loans but performs one or more discrete functions identified in Item 1122(d) of Regulation AB with respect to Mortgage Loans under the direction or authority any of the Servicer or a SubservicerMortgage Loans.

Subcontractor. Any third-party or Affiliated vendor, subcontractor or other Person utilized by a Servicer, a Subservicer, or the Master Servicer or the Securities Administrator, as applicable, that is not responsible for the overall servicing (as “"servicing” " is commonly understood by participants in the mortgage-backed securities market) of Mortgage Loans but performs one or more discrete functions identified in Item 1122(d) of Regulation AB with respect to Mortgage Loans under the direction or authority of the Servicer or a SubservicerLoans.

Subcontractor. Any third-party or Affiliated vendor, subcontractor or other Person utilized by the Servicer, a Subservicer or the Trustee, as applicable, that is not responsible for the overall servicing (as “"servicing” " is commonly understood by participants in the mortgage-backed securities market) of Mortgage Loans but performs one or more discrete functions identified in Item 1122(d) of Regulation AB with respect to Mortgage Loans under the direction or authority of the Servicer or a SubservicerLoans.

Subcontractor. Any third-party or Affiliated vendor, subcontractor or other Person utilized by a Servicer, a Subservicer, the Trustee or the Custodian, as applicable, that is not responsible for the overall servicing (as “"servicing” " is commonly understood by participants in the mortgage-backed securities market) of Mortgage Loans but performs one or more discrete functions identified in Item 1122(d) of Regulation AB with respect to Mortgage Loans under the direction or authority of the Servicer or a SubservicerLoans.

Subcontractor. Any third-party or Affiliated vendor, subcontractor or other Person utilized by a Servicer, a Subservicer, the Securities Administrator or a Custodian, as applicable, that is not responsible for the overall servicing (as “"servicing” " is commonly understood by participants in the mortgage-backed securities market) of Mortgage Loans but performs one or more discrete functions identified in Item 1122(d) of Regulation AB with respect to Mortgage Loans under the direction or authority of the Servicer or a SubservicerLoans.

Subcontractor. Any vendor, subcontractor or other Person that is not responsible for the overall servicing (as “servicing” is commonly understood by participants in the mortgage-backed securities market) of Mortgage Loans but performs one or more discrete functions identified in Item 1122(d) of Regulation AB with respect to Mortgage Loans under the direction or authority of the Seller, the Servicer or a Subservicer.

Any vendor, subcontractor or other Person that is not responsible for the overall servicing (as “servicing” is commonly understood by participants in the mortgage-backed securities market) of Mortgage Loans but performs one or more discrete functions identified in Item 1122(d) of Regulation AB with respect to Mortgage Loans under the direction or authority of the Master Servicer, the Servicer or a Subservicer.

Subcontractor. Any vendor, subcontractor or other Person (determined solely by the Servicer) that is not responsible for the overall servicing (as “servicing” is commonly understood by participants in the mortgage-backed securities market) of the Mortgage Loans but performs one or more discrete functions identified in Item 1122(d) of Regulation AB with respect to the Mortgage Loans under the direction or authority of the Servicer or a related Subservicer.

Subcontractor. Any vendor, subcontractor or other Person that is not responsible for the overall servicing (as “servicing” is commonly understood by participants in the mortgage-backed securities market) of Mortgage Loans but performs one or more discrete functions identified in Item 1122(d) of Regulation AB with respect to Mortgage Loans under the direction or authority of the Servicer Seller or a Subservicer.

Subcontractor. Any third-party or Affiliated vendor, subcontractor or other Person utilized by a Servicer, a Subservicer or the Trustee, as applicable, that is not responsible for the overall servicing (as “"servicing” " is commonly understood by participants in the mortgage-backed securities market) of Mortgage Loans but performs one or more discrete functions identified in Item 1122(d) of Regulation AB with respect to Mortgage Loans under the direction or authority of the Servicer or a SubservicerLoans.

Subcontractor. Any vendor, subcontractor or other Person that is not responsible for the overall servicing (as “"servicing” " is commonly understood by participants in the mortgage-backed securities market) of Mortgage Loans but performs one or more discrete functions identified in Item 1122(d) of Regulation AB with respect to Mortgage Loans as determined by and under the direction or authority of the Servicer TMHL or a Subservicer.

Subcontractor. Any vendor, subcontractor or other Person that is not responsible for the overall servicing (as “"servicing” " is commonly understood by participants in the mortgage-backed securities market) of Mortgage Loans pursuant to a Reconstitution Agreement but performs one or more discrete functions identified in Item 1122(d) of Regulation AB with respect to Mortgage Loans (serviced by the Company under a Reconstitution Agreement) under the direction or authority of the Servicer Company or a Subservicer.

Subcontractor. Any vendor, subcontractor or other Person that is not responsible for the overall servicing (as “servicing” is commonly understood by participants in the mortgage-backed securities market) of the Mortgage Loans but performs one or more discrete material servicing functions required to be performed under this Agreement, any Servicing Agreement or any subservicing agreement, as identified in Item 1122(d) of Regulation AB with respect to the Mortgage Loans under the direction or authority of a Servicer, the Servicer Master Servicer, the Paying Agent the Trustee or a SubservicerCustodian.

Subcontractor. Any third-party or Affiliated vendor, subcontractor or other Person utilized by the Servicer, a Subservicer, or the Master Servicer or the Securities Administrator, as applicable, that is not responsible for the overall servicing (as “"servicing” " is commonly understood by participants in the mortgage-backed securities market) of Mortgage Loans but performs one or more discrete functions identified in Item 1122(d) of Regulation AB with respect to Mortgage Loans under the direction or authority of the Servicer or a SubservicerLoans.

Subcontractor. Any vendor, subcontractor or other Person that is not responsible for the overall servicing (as “servicing” is commonly understood by participants in the mortgage-backed securities market) of the Mortgage Loans but performs one or more discrete material servicing functions required to be performed under this Agreement, any Servicing Agreement or any subservicing agreement, as identified in Item 1122(d) of Regulation AB with respect to the Mortgage Loans under the direction or authority of a Servicer, the Servicer Master Servicer, the Trustee or a SubservicerCustodian.

Subcontractor. Any third-party or Affiliated vendor, subcontractor or other Person utilized by a Servicer, a Subservicer or the Trustee that is not responsible for the overall servicing (as “"servicing” " is commonly understood by participants in the mortgage-backed securities market) of Mortgage Loans but performs one or more discrete functions identified in Item 1122(d) of Regulation AB with respect to Mortgage Loans under the direction or authority of the Servicer or a SubservicerLoans.

Subcontractor. Any vendor, subcontractor or other Person that is not responsible for the overall servicing (as “servicing” is commonly understood by participants in the mortgage-backed securities market) of Mortgage Loans but performs one or more discrete functions identified in Item 1122(dl122( d) of Regulation AB with respect to Mortgage Loans under the direction or authority of the Servicer Company or a Subservicer.

Subcontractor. Any third-party or Affiliated vendor, subcontractor or other Person utilized by the Servicer, the Countrywide Servicer, a Subservicer, the Trustee or a Custodian, as applicable, that is not responsible for the overall servicing (as “"servicing” " is commonly understood by participants in the mortgage-backed securities market) of Mortgage Loans but performs one or more discrete functions identified in Item 1122(d) of Regulation AB with respect to Mortgage Loans under the direction or authority of the Servicer or a SubservicerLoans.

Subcontractor. Any vendor, subcontractor or other Person that is not responsible for the overall servicing (as “servicing” is commonly understood by participants in the mortgage-backed securities market) of Mortgage Loans Receivables but performs one or more discrete functions identified in Item 1122(d) of Regulation AB with respect to Mortgage Loans the Receivables under the direction or authority of the Servicer or a Subservicerthe Indenture Trustee.

Subcontractor. Any vendor, subcontractor or other Person that is not responsible for the overall servicing (as “servicing” is commonly understood by participants in the mortgage-backed securities market) of Mortgage Loans but performs one or more discrete functions identified in Item 1122(d) ), and Instruction No. 2 of the Instructions to Item 1122, of Regulation AB with respect to Mortgage Loans under the direction or authority of the Servicer Seller or a Subservicer.

Subcontractor. Any third-party or Affiliated vendor, subcontractor or other Person utilized by a Servicer, the Countrywide Servicer, a Subservicer, or the Trustee that is not responsible for the overall servicing (as “"servicing” " is commonly understood by participants in the mortgage-backed securities market) of Mortgage Loans but performs one or more discrete functions identified in Item 1122(d) of Regulation AB with respect to Mortgage Loans under the direction or authority of the Servicer or a SubservicerLoans.

Subcontractor. Any vendor, subcontractor or other Person that is not responsible for the overall servicing (as “servicing” is commonly understood by participants in the mortgage-backed securities market) of Mortgage Loans but performs one or more discrete functions identified in Item 1122(d) of Regulation AB with respect to Mortgage Loans under the direction or authority of the Servicer or a Subservicer. Subordinate Certificates: The Class M-1, Class M-2, Class M-3, Class B-1, Class B-2 and Class B-3 Certificates.

Subcontractor. Any third-party or Affiliated vendor, subcontractor or other Person utilized by a Servicer, a Subservicer, the Trustee or a Custodian, as applicable, that is not responsible for the overall servicing (as “"servicing” " is commonly understood by participants in the mortgage-backed securities market) of Mortgage Loans but performs one or more discrete functions identified in Item 1122(d) of Regulation AB with respect to Mortgage Loans under the direction or authority of the Servicer or a SubservicerLoans.

Any third-party or Affiliated vendor, subcontractor or other Person utilized by the Servicer, a Subservicer or the Trustee that is not responsible for the overall servicing (as “"servicing” " is commonly understood by participants in the mortgage-backed securities market) of Mortgage Loans but performs one or more discrete functions identified in Item 1122(d) of Regulation AB with respect to Mortgage Loans under the direction or authority of the Servicer or a SubservicerLoans.

Subcontractor. Any third-party or Affiliated vendor, subcontractor or other Person utilized by the Servicer, a Subservicer, the Trustee or the Custodian, as applicable, that is not responsible for the overall servicing (as “"servicing” " is commonly understood by participants in the mortgage-backed securities market) of Mortgage Loans but performs one or more discrete functions identified in Item 1122(d) of Regulation AB with respect to Mortgage Loans under the direction or authority of the Servicer or a SubservicerLoans.

Subcontractor. Any vendor, subcontractor or other Person that is not responsible for the overall servicing (as “"servicing” " is commonly understood by participants in the mortgage-backed securities market) of Mortgage Loans but performs one or more discrete functions identified in Item 1122(d) of Regulation AB with respect to Mortgage Loans under the direction or authority of the Servicer or a Subservicer. Subordinate Certificates: With respect to Loan Group I, the Class I-B Certificates and with respect to Loan Group II, the Class II-B Certificates, as applicable.

Subcontractor. Any vendor, subcontractor or other Person that is not responsible for the overall servicing (as “servicing” is commonly understood by participants in the mortgage-backed securities market) of Mortgage Loans but performs one or more discrete functions identified in Item 1122(d) of Regulation AB with respect to Mortgage Loans under the direction or authority of the Servicer Company or a Subservicer, provided that this term shall not include the Owner, an affiliate of the Owner or originators of Mortgage Loans acquired by the Company from the Owner or an affiliate of the Owner.

Subcontractor. Any third-party or Affiliated vendor, subcontractor or other Person utilized by the Servicer, the Countrywide Servicer, a Subservicer, or the Trustee or the Custodian, as applicable, that is not responsible for the overall servicing (as “"servicing” " is commonly understood by participants in the mortgage-backed securities market) of Mortgage Loans but performs one or more discrete functions identified in Item 1122(d) of Regulation AB with respect to Mortgage Loans under the direction or authority of the Servicer or a SubservicerLoans.

Subcontractor. Subcontractor. Any vendor, subcontractor or other Person that is not responsible for the overall servicing (as “servicing” is commonly understood by participants in the mortgage-backed securities market) of the Mortgage Loans but performs one or more discrete material servicing functions required to be performed under this Agreement, any Servicing Agreement or any subservicing agreement, as identified in Item 1122(d) of Regulation AB with respect to the Mortgage Loans under the direction or authority of a Servicer, the Servicer Master Servicer, the Paying Agent, the Trustee or a SubservicerCustodian.

Subcontractor. Any vendor, subcontractor or other Person that is not responsible for the overall servicing (as “servicing” is commonly understood by participants in the mortgage-backed securities market) of Mortgage Loans pursuant to a Reconstitution Agreement but performs one or more discrete functions identified in Item 1122(d) of Regulation AB with respect to Mortgage Loans (serviced by the Company under a Reconstitution Agreement) under the direction or authority of the Servicer Company or a Subservicer.

Subcontractor. Any third-party or Affiliated vendor, subcontractor or other Person utilized by the Trustee that is not responsible for the overall servicing (as “"servicing” " is commonly understood by participants in the mortgage-backed securities market) of Mortgage Loans but performs one or more discrete functions identified in Item 1122(d) of Regulation AB with respect to Mortgage Loans under the direction or authority of the Servicer or a SubservicerAB.

Subcontractor. Any vendor, subcontractor or other Person that is not responsible for the overall servicing (as “servicing” is commonly understood by participants in the mortgage-backed securities market) of the Mortgage Loans but performs one or more discrete functions identified in Item 1122(d) of Regulation AB with respect to the Mortgage Loans under the direction or authority of the Master Servicer or a SubservicerSubservicer or the Trustee, as the case may be.

Subcontractor. Subcontractor. Any vendor, subcontractor or other Person person that is not responsible for the overall servicing (as “servicing” is commonly understood by participants in the mortgage-backed securities market) of Mortgage Loans but performs one or more discrete functions identified in Item 1122(d) of Regulation AB with respect to Mortgage Loans under the direction or authority of the Servicer Subservicer or a Sub-subservicer. Subservicer: Washington Mutual Bank, FA or its successors and assigns.

Subcontractor. Any vendor, subcontractor or other Person that is not responsible for the overall servicing (as “"servicing” " is commonly understood by participants in the mortgage-backed securities market) of Mortgage Loans but performs one or more discrete functions identified in Item 1122(d) of Regulation AB with respect to Mortgage Loans under the direction or authority of the Servicer Master Servicer, any Servicer, any subservicer or a Subservicerthe Securities Administrator, as the case may be.

Subcontractor. Any third-party or Affiliated vendor, subcontractor or other Person utilized by the Servicer, a Subservicer, the Master Servicer or the Securities Administrator that is not responsible for the overall servicing (as “"servicing” " is commonly understood by participants in the mortgage-backed securities market) of Mortgage Loans but performs one or more discrete functions identified in Item 1122(d) of Regulation AB with respect to Mortgage Loans under the direction or authority of the Servicer or a SubservicerLoans.

Subcontractor. Any vendor, subcontractor or other Person person that is not responsible for the overall servicing (as “servicing” is commonly understood by participants in the mortgage-backed securities market) of Mortgage Securitized Loans but performs one or more discrete functions identified in Item 1122(d) of Regulation AB with respect to Mortgage Securitized Loans under the direction or authority of the Servicer or a Subservicer.

Subcontractor. Any vendor, subcontractor or other Person that is not responsible for the overall servicing (as “"servicing” " is commonly understood by participants in the mortgage-backed securities market) of Mortgage Loans but performs one or more discrete functions identified in Item 1122(d) of Regulation AB with respect to Mortgage Loans under the direction or authority of the Servicer or a Subservicer. Subordinate Certificates: The Class B-1, Class B-2, Class B-3, Class B-4, Class B-5, Class B-6 and Class B-7 Certificates.

Subcontractor. Any third-party or Affiliated vendor, subcontractor or other Person utilized by a Servicer, the Countrywide Servicer, a Subservicer or the Securities Administrator, as applicable, that is not responsible for the overall servicing (as “"servicing” " is commonly understood by participants in the mortgage-backed securities market) of Mortgage Loans but performs one or more discrete functions identified in Item 1122(d) of Regulation AB with respect to Mortgage Loans under the direction or authority of the Servicer or a SubservicerLoans.

Subcontractor. Any vendor, subcontractor or other Person that is not responsible for the overall servicing (as “servicing” is commonly understood by participants in the mortgage-backed securities market) of Mortgage Loans but performs one or more discrete functions identified in Item 1122(dl122( d) of Regulation AB with respect to Mortgage Loans under the direction or authority of the Servicer Seller or a Subservicer.

Subcontractor. Any vendor, subcontractor or other Person that is not responsible for the overall servicing (as “servicing” is commonly understood by participants in the mortgage-backed securities market) of Mortgage Loans but performs one or more discrete functions identified in Item 1122(d) of Regulation AB with respect to Mortgage Loans or REO Properties under the direction or authority of the Servicer or a Subservicer.

Subcontractor. Any vendor, subcontractor or other Person that is not responsible for the overall servicing (as “servicing” is commonly understood by participants in the mortgage-backed securities market) of Mortgage Loans but performs one or more discrete functions identified in Item 1122(d) of Regulation AB with respect to Mortgage Loans under the direction or authority of the Servicer or a Subservicerthe Trust Administrator.

Subcontractor. Any third-party or Affiliated vendor, subcontractor or other Person utilized by a Servicer, a Subservicer, the Master Servicer or the Securities Administrator that is not responsible for the overall servicing (as “"servicing” " is commonly understood by participants in the mortgage-backed securities market) of Mortgage Loans but performs one or more discrete functions identified in Item 1122(d) of Regulation AB with respect to Mortgage Loans under the direction or authority of the Servicer or a SubservicerLoans.

Subcontractor. Any third-party or Affiliated vendor, subcontractor or other Person utilized by a Servicer, a Custodian, the Master Servicer, a Subservicer or the Trustee that is not responsible for the overall servicing (as “servicing” is commonly understood by participants in the mortgage-backed securities market) of the Mortgage Loans but performs one or more discrete functions identified in Item 1122(d) of Regulation AB with respect to the Mortgage Loans under the direction or and authority of the Servicer such Servicer, Custodian, Master Servicer, Subservicer or a SubservicerTrustee.

Subcontractor. Any vendor, subcontractor or other Person that is not responsible for the overall servicing (as “servicing” is commonly understood by participants in the mortgage-backed securities market) of the Mortgage Loans but performs one or more discrete functions identified in Item 1122(d) of Regulation AB with respect to the Mortgage Loans under the direction or authority of the Servicer Trustee, the Master Servicer, the Custodian, the Servicer, the Securities Administrator or a Subservicerthe Credit Risk Manager.

Subcontractor. Any vendor, subcontractor or other Person that is not responsible for the overall servicing (as “servicing” is commonly understood by participants in the mortgage-backed securities market) of the Mortgage Loans but performs one or more discrete material servicing functions required to be performed under this Agreement, any Servicing Agreement or any subservicing agreement, as identified in Item 1122(d) of Regulation AB with respect to the Mortgage Loans under the direction or authority of a Servicer, the Servicer Master Servicer, the Paying Agent, the Trustee or a SubservicerCustodian. Subordinate Certificates: The Offered Subordinate Certificates.

Subcontractor. Any vendor, subcontractor or other Person that is not responsible for the overall servicing (as “servicing” "servicing is commonly understood by participants in the mortgage-backed securities market) of the Mortgage Loans but performs one or more discrete functions identified in Item 1122(d) of Regulation AB with respect to the Mortgage Loans under the direction or authority of the Servicer or a SubservicerCustodian.

Subcontractor. Any vendor, subcontractor or other Person that is not responsible for the overall servicing (as “"servicing” " is commonly understood by participants in the mortgage-backed securities market) of Mortgage Loans but performs one or more discrete functions identified in Item 1122(d) of Regulation AB with respect to Mortgage Loans under the direction or authority of the Servicer or a Subservicer. Subordinate Certificates: The Class M-1, Class M-2, Class M-3, Class B-1, Class B-2 and Class B-3 Certificates.

Subcontractor. Any third-party or Affiliated vendor, subcontractor or other Person utilized by a Servicer, a Subservicer, or the Trustee that is not responsible for the overall servicing (as “"servicing” " is commonly understood by participants in the mortgage-backed securities market) of Mortgage Loans but performs one or more discrete functions identified in Item 1122(d) of Regulation AB with respect to Mortgage Loans under the direction or authority of the Servicer or a SubservicerLoans.

Subcontractor. Any vendor, subcontractor or other Person that is not responsible for the overall servicing (as “"servicing” " is commonly understood by participants in the mortgage-backed securities market) of Mortgage Loans but performs one or more discrete functions identified in Item 1122(d) of Regulation AB with respect to the Mortgage Loans under the direction or authority of the Servicer or Servicer, the Master Servicer, a Subservicer, the Trust Administrator or the Indenture Trustee, as the case may be.

Subcontractor. Any vendor, subcontractor or other Person that is not responsible for the overall servicing (as “servicing” is commonly understood by participants in the mortgage-backed securities market) of the Mortgage Loans but performs one or more discrete material functions required to be performed under this Agreement, each Custodial Agreement, each Servicing Agreement or any subservicing agreement, as identified in Item 1122(d) of Regulation AB with respect to the Mortgage Loans under the direction or authority of the Servicer Securities Administrator, the Master Servicer, a Custodian or a Subservicer.Servicer. Subgroups: Each of the subgroupings of Mortgage Loans described below:

Subcontractor. Any vendor, subcontractor or other Person that is not responsible for the overall servicing (as “servicing” is commonly understood by participants in the mortgage-backed securities market) of Mortgage Loans but performs one or more discrete functions identified in Item 1122(d) of Regulation AB with respect to the Mortgage Loans under the direction or authority of the Servicer Company or a Subservicer.

Subcontractor. Any vendor, subcontractor or other Person that is not responsible for the overall servicing (as “servicing” is commonly understood by participants in the mortgage-backed securities market) of Specified Mortgage Loans but performs one or more discrete functions identified in Item 1122(d) of Regulation AB with respect to Specified Mortgage Loans under the direction or authority of the Servicer or a Subservicer.

Subcontractor. Any vendor, subcontractor or other Person that is not responsible for the overall servicing (as “servicing” is commonly understood by participants in the mortgage-backed securities market) of the Mortgage Loans but performs one or more discrete functions identified in Item 1122(d) of Regulation AB with respect to the Mortgage Loans under the direction or authority of the Servicer Master Servicer, a Custodian, a Servicer, the Securities Administrator or a Subservicerthe Credit Risk Manager. Subordinate Certificate: Any Class M Certificate or Class B Certificate.

Subcontractor. Any third-party or Affiliated vendor, subcontractor or other Person utilized by the Servicer, a Subservicer, the Securities Administrator or the Trustee, as applicable, that is not responsible for the overall servicing (as “"servicing” " is commonly understood by participants in the mortgage-backed securities market) of Mortgage Loans but performs one or more discrete functions identified in Item 1122(d) of Regulation AB with respect to Mortgage Loans under the direction or authority of the Servicer or a SubservicerLoans.

Subcontractor. Any vendor, subcontractor or other Person that is not responsible for the overall servicing (as “servicing” is commonly understood by participants in the mortgage-backed securities market) of Mortgage Loans but performs one or more discrete functions identified in Item 1122(d) of Regulation AB with respect to Mortgage Loans under the direction or authority of the Servicer Seller or a Subservicer. Trustee: HSBC Bank USA, National Association, its successors and assigns.
