Common use of Subcontractors and Agents Clause in Contracts

Subcontractors and Agents. Business Associate will ensure that any agent, including a subcontractor, that creates, receives, maintains, or transmits Protected Health Information on behalf of the Business Associate agrees to: • The same restrictions and conditions that apply to Business Associate in this BAA to such Protected Health Information; and • Implement reasonable and appropriate safeguards to protect the Electronic Protected Health Information.

Subcontractors and Agents. Business Associate will agrees to ensure that any agent, including a any subcontractor, that creates, receives, maintainsto whom it provides protected health information received from, or transmits Protected Health Information created by Business Associate on behalf of Covered Entity agrees in writing to the Business Associate agrees to: • The same terms, conditions and restrictions on the use and conditions that apply to Business Associate disclosure of protected health information as contained in this BAA to such Protected Health Information; and • Implement reasonable and appropriate safeguards to protect the Electronic Protected Health InformationContract.

Ensure that any agent, including a subcontractor, that creates, receives, maintains, or transmits agents and subcontractors to whom Business Associate provides Protected Health Information that Business Associate has created, stored, accessed, received, maintained, or transmitted on behalf of Covered Entity, agree to the Business Associate agrees to: • The same restrictions and conditions that apply to Business Associate in this BAA Agreement; and ii. Notify Covered Entity in writing of any such agents and subcontractors to whom Business Associate discloses or otherwise provides such Protected Health Information; and • Implement reasonable and appropriate safeguards to protect the Electronic Protected Health Information.

Business Associate will use commercially reasonable efforts to ensure that any agent, including a subcontractor, that creates, receives, maintains, or transmits to whom Business Associate provides Protected Health Information Information, created or received by Business Associate on behalf of the Business Associate Covered Entity, agrees (or has agreed) to: • : i. The same restrictions and conditions that apply to Business Associate in this BAA Agreement to such Protected Health Information; and • and ii. Implement reasonable and appropriate safeguards to protect the Electronic Protected Health Information.
