Common use of Subject to Applicable Regulations Clause in Contracts

Subject to Applicable Regulations. 4.6.1 This Client Agreement and all Transactions are subject to Applicable Regulations so that: If there is any conflict between this Client Agreement and any Applicable Regulations, the latter will prevail; and, We may take or omit to take any action we consider necessary to ensure compliance with any Applicable Regulations and whatever we do or fail to do in order to comply with them will be binding on you. 4.6.2 You acknowledge that you are solely responsible for, and that neither INFINOX nor any of its affiliates has any responsibility for, your compliance with any laws, Applicable Regulations or rules applicable to your use of the services provided by us under this Client Agreement including, but not limited to, any laws, Applicable Regulations or rules, in your or any other jurisdiction, relating to tax, foreign exchange and capital control, and for reporting or filing requirements that may apply as a result of your country of citizenship, domicile, residence or tax- paying status.
