Common use of Subject to Applicable Regulations Clause in Contracts

Subject to Applicable Regulations. This Agreement and all transactions with you are subject to Applicable Regulations so that: 5.1.1 if there is any conflict between this Agreement and any Applicable Regulations, the Applicable Regulations will prevail; 5.1.2 we may take or fail to take any action we consider necessary to ensure compliance with any of the Applicable Regulations; 5.1.3 all Applicable Regulations and whatever we reasonably do or fail to do in order to comply with them will be binding on you; and 5.1.4 neither we nor any of our directors, officers, employees or agents shall be responsible if we reasonably take or fail to take any actions in order to comply with any Applicable Regulations.
