Subject to Clauses 27 Sample Clauses
Subject to Clauses 27. 2.2 and 27.2.3, the Supplier may only disclose the Confidential Information of the Authority on a confidential basis to:
(a) Supplier Personnel who are directly involved in the provision of the Services and need to know the Confidential Information to enable the performance of the Supplier’s obligations under this Framework Agreement; and
(b) its professional advisers for the purposes of obtaining advice in relation to this Framework Agreement.
Subject to Clauses 27. 1 and 27.5 (Liability), in no event shall either party be liable to the other for:
27.5.1 indirect, special or consequential loss or damage of any nature and howsoever caused, even if the losses were reasonably foreseeable or the party has been advised of the possibility of such losses occurring; and/or
27.5.2 any direct or indirect loss of profits, business, revenue, goodwill or anticipated savings.
Subject to Clauses 27. 8.1, the following amounts shall be deducted from the amount payable in terms of Clauses 27.8.1:
27.8.2.1 the cost and expense incurred or to be incurred in the reinstatement of the NAMAQUA FLOWERS BEACH LUXURY MOBILE TENTED CAMP as at date of termination, fair wear and tear accepted;
27.8.2.2 an amount equal to any liquidated claims recoverable at law; and
27.8.2.3 all costs and expenses incurred and/or reasonably expected to be incurred in restoring or remedying material damage to the NAMAQUA FLOWERS BEACH LUXURY MOBILE TENTED CAMP and the Environment caused by the Private Party and/or any Person for whom it is legally responsible in terms of this PPP Agreement; and
