Common use of Subject to the Exchange Rights Agreement Clause in Contracts

Subject to the Exchange Rights Agreement. The Initial Limited Partner, TCI, TCI-II and all their respective subsequent transferees shall be entitled to the benefits of, and subject to the burdens of, the Exchange Rights Agreement, including, but not limited to, the "Conversion Right" of the Company to require any such transferee (other than the Initial Limited Partner and his Permitted Holders) to exchange its Partnership Interests for shares of Common Stock on the terms and subject to the conditions set forth therein.
