Common use of Sublicensing by Xxxxx Clause in Contracts

Sublicensing by Xxxxx. Ionis may grant sublicenses of any rights granted by Metagenomi under Section 3.1.3(a) (Unblocking License Grant) through multiple tiers to any of its Affiliates or to one or more Sublicensees to which Ionis grants a license to [***]. Each such sublicense will be consistent with the terms of this Agreement and will require such Sublicensee to comply with all applicable terms of this Agreement. Ionis will remain responsible for its Sublicensees’ compliance with the applicable terms of this Agreement.

Sublicensing by Xxxxx. Ionis may grant sublicenses of any rights granted by Metagenomi under Section 3.1.3(a3.1.1(a) (Unblocking Collaboration Activities License Grant) through multiple tiers to any of its Affiliates or to one or more Sublicensees to which Ionis grants a license to Subcontractors that are not [***]. Each such sublicense will be consistent with the terms of this Agreement and will require such Sublicensee to comply with all applicable terms of this Agreement. Ionis will remain responsible for its Sublicensees’ compliance with the applicable terms of this Agreement.
