Common use of Submission of Listings Clause in Contracts

Submission of Listings. As a material condition to accessing the MLS Database, Sales Licensee agrees to submit to MLS on behalf of Broker, all Listings for properties listed for sale by Sales Licensee, in accordance with, and except as otherwise provided in, the Rules and Regulations. MLS may refuse to accept or include in, and may remove from, the MLS Database, any Listing, or any Listing Content, or may require Sales Licensee, on behalf of Broker, to direct MLS to modify any Listing Content, as provided under the Rules and Regulations or if MLS determines, in its sole discretion, that any such Listing Content may violate or infringe upon the rights of a third party. Notwithstanding the foregoing sentence, except as provided in the Rules and Regulations, Sales Licensee acknowledges that MLS has no obligation to remove or modify any Listing or Listing Content. MLS grants to Sales Licensee a limited, non-exclusive, personal license to input Listing Content in the MLS Database, and modify such Listing Content, only on behalf of Broker and strictly in accordance with the terms and conditions of this Agreement and the Rules and Regulations. Sales Licensee acknowledges and agrees that any Listing or Listing Content, or any prospective Listing or Listing Content, submitted to MLS may be accessible by other users of MLS’s multiple listing service, and MLS shall have no liability to Sales Licensee for providing such other user’s access to any Listing or Listing Content, or any prospective Listing or Listing Content.

NM MLS may refuse to accept or include in, and may remove from, the NM MLS Database, Database any Listing, Listing or any Listing Content, or may require Sales Licensee, on behalf of Broker, Participant to direct NM MLS to modify any Listing Content, as provided under the Bylaws and/or Rules and Regulations or if NM MLS determines, in its sole discretion, that any such Listing or Listing Content may violate or infringe upon the rights of a third party. Notwithstanding the foregoing sentence, except as provided in the Bylaws and/or Rules and Regulations, Sales Licensee Participant acknowledges that NM MLS has no obligation to remove remove, modify or modify refuse to accept any Listing or Listing Content. As a material condition to accessing the MLS Database, Sales Licensee Subscriber agrees to submit to MLS all Listings of residential and rental property located within the MLS Service Area taken by Subscriber on behalf of Broker, all Listings for properties listed for sale by Sales Licensee, Subscriber’s Participant in accordance with, and except as otherwise provided in, the Rules and Regulations. In its sole discretion, MLS may refuse to accept or include in, and may remove from, the MLS Database, any Listingany non-compliant or infringing Listing or Listing Data, and may require Subscriber to modify, correct, or supplement any Listing Content, or may require Sales Licensee, on behalf Data as necessary to comply with the requirements of Broker, to direct MLS to modify any Listing Content, as provided under the Rules and Regulations or if MLS determines, in its sole discretion, that any such Listing Content may violate or infringe upon the rights of a third partyRegulations. Notwithstanding the foregoing sentenceforegoing, except as provided in the Rules and Regulations, Sales Licensee Subscriber acknowledges that MLS has no obligation to remove or modify modify, or refuse to accept any Listing or Listing ContentData. MLS grants to Sales Licensee Subscriber’s Participant (and if allowed by Participant, his/her Affiliates, including Subscriber) a limited, non-exclusive, personal license to input Listing Content Data in the MLS Database, and modify such Listing Content, only on behalf of Broker and Data strictly in accordance with the terms and conditions of this Agreement and the Rules and Regulations. Sales Licensee Participant acknowledges and agrees that any Listing or Listing ContentData, or any prospective Listing or Listing ContentData, submitted to MLS by Subscriber may be accessible by other participants in or users of MLS’s multiple listing serviceMLS Services, and MLS shall have no liability to Sales Licensee Subscriber for providing such other user’s participants or users access to any Listing or Listing ContentData, or any prospective Listing or Listing ContentData.

MLS PCMLS may refuse to accept or include in, and may remove from, the MLS Database, any Listing, Listing or any Listing Content, or may require Sales Licensee, on behalf of Broker, Participant to direct MLS PCMLS to modify any Listing Content, as provided under the PCMLS’s Rules and Regulations Regulations, or if MLS PCMLS determines, in its sole discretion, that any such Listing or Listing Content may violate or infringe upon the rights of a third party. Notwithstanding the foregoing sentence, except as provided in the PCMLS’s Rules and Regulations, Sales Licensee Participant acknowledges that MLS PCMLS has no obligation to remove remove, modify or modify refuse any Listing or Listing Content. MLS PCMLS grants to Sales Licensee Participant a limited, non-exclusive, personal license to input Listing Content in the MLS Database, Database and to modify such Listing Content, only on behalf of Broker and Content strictly in accordance with the terms and conditions of this Agreement and the PCMLS’s Rules and Regulations. Sales Licensee Participant acknowledges and agrees that any Listing or Listing Content, or any prospective Listing or Listing Content, submitted to MLS by Participant or its Affiliates may be accessible by other participants in or users of MLSPCMLS’s multiple listing service, and MLS PCMLS shall have no liability to Sales Licensee Participant for providing such other user’s participants or users access to any Listing or Listing Content, or any prospective Listing or Listing Content.

MLS REcolorado may refuse to accept or include in, and may remove from, the MLS Database, Database any Listing, Listing or any Listing Content, or may require Sales Licensee, on behalf of Broker, to direct MLS Participant to modify any Listing Content, as provided under the Rules and Regulations or if MLS REcolorado determines, in its sole discretion, that any such Listing or Listing Content may violate or infringe upon the rights of a third partyparty or violate Fair Housing laws. Notwithstanding the foregoing sentence, except as provided in the Rules and Regulations, Sales Licensee Participant acknowledges that MLS REcolorado has no obligation to remove remove, modify or modify refuse to accept any Listing or Listing Content. MLS REcolorado grants to Sales Licensee Participant a limited, non-exclusive, personal license to input Listing Content in the MLS Database, Database and to modify such Listing Content, only on behalf of Broker and Content strictly in accordance with the terms and conditions of this Agreement and the Rules and Regulations. Sales Licensee Participant acknowledges and agrees that any Listing or Listing Content, or any prospective Listing or Listing Content, submitted to MLS by Participant or its Users may be accessible by other Participants in or users of MLSREcolorado’s multiple listing service, and MLS REcolorado shall have no liability to Sales Licensee Participant for providing such other user’s Participants or users access to any Listing or Listing Content, or any prospective Listing or Listing Content.

NM MLS may refuse to accept or include in, and may remove from, the NM MLS Database, Database any Listing, Listing or any Listing Content, or may require Sales Licensee, on behalf of Broker, Participant to direct NM MLS to modify any Listing Content, as provided under the Bylaws and/or Rules and Regulations or if NM MLS determines, in its sole discretion, that any such Listing or Listing Content may violate or infringe upon the rights of a third party. Notwithstanding the foregoing sentence, except as provided in the Bylaws and/or Rules and Regulations, Sales Licensee Participant acknowledges that NM MLS has no obligation to remove remove, modify or modify refuse to accept any Listing or Listing Content. NM MLS grants to Sales Licensee Participant a limited, non-non- exclusive, personal license to input Listing Content in the NM MLS Database, Database and to modify such Listing Content, only on behalf of Broker and Content strictly in accordance with the terms and conditions of this Agreement Agreement, the Bylaws and the Rules and Regulations.
