Submission of Documents. Client guarantees that the following documents have been provided or the conditions hereinafter have been satisfied prior to execution of this Agreement or according to related requirements by Creditor:
(1) Copy of Client’s latest articles of association, business license;
(2) Resolutions of board of directors in authorizing Client to execute this Agreement and related subsequent financing documents;
(3) Power of attorney and signature sample of representatives of Client;
(4) All subsequent financing documents which have been signed by Client lawfully according to Creditor’s requirements;
(5) Other documents or conditions required by Creditor.

The Client warrants that the following documents will be provided to the Financing Bank or the corresponding conditions will be complied with before the drawdown of the loan, but the Financing Bank is not obligated to verify the authenticity of such documents: (1) Copies of the Client’s latest Articles of Association and business licence; (2) Resolutions of the Board of Directors authorizing the Client to sign the Agreement and relevant supplementary financing documents (if the authority of the legal representative in signing contracts is limited by the Articles of Association of the Client); (3) Letter of authorization from the Company regarding the authorized representative and specimen signature of the authorized representative; (4) This Agreement, as validly and lawfully signed by the Client; (5) The drawdown date, as designated by the Client, is a business day of the Financing Bank; (6) If the loan under this Agreement is secured, the security document should be signed and come into force before the drawdown date; (7) Other documents and/or conditions as may be required by Financing Bank from time to time.
Submission of Documents. All audits, reports, and documents required by this ECP to be provided by CARNIVAL to any or all of the Interested Parties, the TPA, and the CAM shall be submitted electronically. CARNIVAL shall provide hard copies of any such materials upon request.
