Common use of Submission to Jurisdiction; Waiver of Immunity Clause in Contracts

Submission to Jurisdiction; Waiver of Immunity. For the benefit of the Holders, each of the Company and each Guarantor hereby (i) irrevocably submits to the non-exclusive jurisdiction of any New York State court or United States federal court sitting in the Borough of Manhattan in the City of New York solely for purposes of any legal action or proceeding arising out of or relating to the Securities or the Guarantees and (ii) irrevocably waives, to the fullest extent permitted by law, any objection that it may now or hereafter have to the laying of venue of any legal action or proceeding in any New York State court or United States federal court sitting in the Borough of Manhattan in the City of New York, and any claim that any such action or proceedings brought in any such court has been brought in an inconvenient forum. Each of the Company and the Parent Guarantor agrees that a final judgment in any such legal action or proceeding shall be conclusive and may be enforced in other jurisdictions by suit on the judgment or in any other manner provided by law. Any legal action or proceeding arising out of or relating to the Securities or the Guarantees may also be brought and enforced in the courts of the Kingdom of Belgium and each of the Company and each Guarantor irrevocably submits to the jurisdiction of each such court in respect of any such action or proceeding. To the extent that the Company or any Guarantor may in any jurisdiction claim for itself or its assets immunity (to the extent that any immunity may now or hereafter exist) from suit, execution, attachment (whether in aid of execution, before judgment or otherwise) or other legal process (whether through service or notice or otherwise), and to the extent that in any such jurisdiction there may be attributed to itself or its assets such immunity (whether or not claimed), the Company and each Guarantor irrevocably agree not to claim, and irrevocably waive, such immunity to the full extent permitted by the laws of such jurisdiction.

The Company irrevocably and (ii) irrevocably unconditionally waives, to the fullest extent permitted by law, any objection that which it may now or hereafter have to the laying of the venue of any legal such suit, action or proceeding brought in any New York State such a court or United States federal court sitting in the Borough of Manhattan in the City of New York, and any claim that any such suit, action or proceedings proceeding brought in any such a court has been brought in an inconvenient forum. Each of the Company and the Parent Guarantor agrees that a final judgment in any such legal action or proceeding shall be conclusive and may be enforced in other jurisdictions by suit on the judgment or in any other manner provided by law. Any legal action or proceeding arising out of or relating to the Securities or the Guarantees may also be brought and enforced in the courts of the Kingdom of Belgium and each of the Company and each Guarantor irrevocably submits to the jurisdiction of each such court in respect of any such action or proceeding. To the extent that the Company has or any Guarantor hereafter may in any jurisdiction claim for itself or its assets immunity (to the extent that acquire any immunity may now from jurisdiction of any court or hereafter exist) from suit, execution, attachment (whether in aid of execution, before judgment or otherwise) or other any legal process (whether through service or notice or otherwise), and to the extent that in any such jurisdiction there may be attributed with respect to itself or its assets such immunity (whether or not claimed)property, the Company and each Guarantor irrevocably agree not to claim, and irrevocably waive, waives such immunity in respect of its obligations hereunder or under the Securities. The Company hereby irrevocably waives, to the full fullest extent permitted by applicable law, any and all right to trial by jury in any legal proceeding out of or relating to this Indenture, the laws Securities or the transactions contemplated thereby. The Company agrees that final judgment in any such suit, action or proceeding brought in such a court shall be conclusive and binding upon the Company and, to the extent permitted by applicable law, may be enforced in any court to the jurisdiction of which the Company is subject by a suit upon such jurisdictionjudgment or in any manner provided by law, provided that service of process is effected upon the Company in the manner specified in Section 11.10(b) or as otherwise permitted by law. Said designation and appointment shall be irrevocable until this Indenture shall have been satisfied and discharged in accordance with Article 9.
