Common use of Submission to Jurisdiction; Waiver of Immunity Clause in Contracts

Submission to Jurisdiction; Waiver of Immunity. (a) The Company agrees that any legal suit, action or proceeding based on the calculation agency-related provisions of the relevant Terms Agreement (or other such agreement implementing these base provisions) brought by the Calculation Agent or any person controlling the Calculation Agent may be instituted in any federal or state court in the County of New York, the State of New York, waives any objection which it may now or hereafter have to the laying of the venue of any such suit, action or proceeding and irrevocably submits to the jurisdiction of any such court in any such suit, action or proceeding. The Company has designated, appointed and empowered Business Sweden as the Company’s authorized agent to accept and acknowledge on its behalf service of any and all process that may be served in any suit, action or proceeding in any such court relating to the Notes, and agrees that service of process by hand upon Business Sweden, 200 X. 00xx Xxxxxx, Xxxxx 000X, Xxx Xxxx, XX 00000, together with written notice of said service to the Company, delivered to Aktiebolaget Svensk Exportkredit (publ), Kxxxxxxxxxxxxxxxxxx 00-00, XX-000 00 Xxxxxxxxx, Xxxxxx, Attention: General Counsel, Email: Lxxxx@xxx.xx shall be deemed in every respect effective service of process upon the Company in any suit, action or proceeding based on the calculation agency-related provisions of the relevant Terms Agreement (or other such agreement) and shall be taken and held to be valid personal service upon the Company. Said designation and appointment shall be irrevocable until the redemption amount payable at maturity of the Notes or upon any early redemption or repurchase of the Notes and all interest (if any) in respect of the Notes and any sums owing by the Company under any agreement as a result of the incorporation by reference therein of these base provisions have been paid in full by the Company in accordance with the provisions hereof. The Company agrees to take all action as may be necessary to continue the designation and appointment of Business Sweden in full force and effect so that the Company shall at all times have an agent for service of process for the above purposes in the State and County of New York. Notwithstanding the foregoing, any legal suit, action or proceeding based on the calculation agency-related provisions of the relevant Terms Agreement (or other such agreement) may be brought by the Calculation Agent or any person controlling the Calculation Agent in any competent court in Sweden.
