Subrogation of Holders of Subordinated Obligations. Subject to the payment in full of all Senior Indebtedness as provided in Section 12.01, the Holders of the Subordinated Obligations shall be subrogated to the rights of the Holders of Senior Indebtedness to receive payments or distributions of assets of the Authority made on Senior Indebtedness until the Subordinated Obligations shall be paid in full, and no payments or distributions to the Holders of Senior Indebtedness by the Authority or by the Holders of the Subordinated Obligations shall, as between the Authority and the Holders of the Subordinated Obligations, be deemed to be a payment by the Authority to or on account of the Subordinated Obligations, it being understood that the provisions of this Article are and are intended solely for the purpose of defining the relative rights of the Holders of the Subordinated Obligations and of Senior Indebtedness and nothing in this Article shall or is intended to, as between the Authority and the Holders of the Subordinated Obligations, impair the obligation of the Authority, which is unconditional and absolute, to pay from the sources herein provided to the Holders of the Subordinated Obligations the principal of and premium, if any, and interest on the Subordinated Obligations in accordance with their terms, nor shall anything in this Article XII prevent the Trustee or the Holder of any Subordinated Obligation from exercising all remedies otherwise permitted by applicable law upon default hereunder, subject to the rights, if any, under this Article XII of the Holders of Senior Indebtedness in respect of cash, property or securities of the Authority received upon the exercise of any such remedy.

  • Agreement to Subordinate The Company agrees, and each Holder by accepting a Note agrees, that the Indebtedness evidenced by the Notes is subordinated in right of payment, to the extent and in the manner provided in this Article 10, to the prior payment in full of all Senior Debt (whether outstanding on the date hereof or hereafter created, incurred, assumed or guaranteed), and that the subordination is for the benefit of the holders of Senior Debt.

  • Control and Payment of Subordinates; Independent Contractor The Services shall be performed by Consultant or under its supervision. Consultant will determine the means, methods and details of performing the Services subject to the requirements of this Agreement. City retains Consultant on an independent contractor basis and not as an employee. Consultant retains the right to perform similar or different services for others during the Term of this Agreement. Any additional personnel performing the Services under this Agreement on behalf of Consultant shall also not be employees of City and shall at all times be under Consultant’s exclusive direction and control. Consultant shall pay all wages, salaries, and other amounts due such personnel in connection with their performance of Services under this Agreement and as required by law. Consultant shall be responsible for all reports and obligations respecting such additional personnel, including, but not limited to: social security taxes, income tax withholding, unemployment insurance, disability insurance, and workers’ compensation insurance.

  • Payment of Indebtedness Upon Demand The Customer shall at all times be liable for the payment upon demand of any obligations owing from the Customer to you, and the Customer shall be liable to you for any deficiency remaining in any such accounts in the event of the liquidation thereof (as contemplated in Paragraph 3 of this Agreement or otherwise), in whole or in part, by you or by the Customer; and the Customer shall make payment of such obligations upon demand.
