Subscription Charges. The Subscriber organisation will pay the charges, without any right of deduction or set-off, within the term indicated on the subscription invoice within 30 days after receipt of a valid invoice. Subscription fees are paid annually in advance, and CFBF will invoice your organisation directly. From the commencement date of the agreement, no payment will be due to your current information vendor in respect of the CFBF Benchmark Data. Subscription fees are subject to review and CFBF will provide a minimum of 3 months’ notice for any subscription charge changes. Payment is integral to the agreement and failure to pay will result in loss of access to CFBF data and potentially to a permanent loss. CFBF reserves the right to request a compliance certificate from any subscriber to ascertain that it is meeting the terms of this agreement.

Subscription Charges. Anthem will bill the Group each month for Subscription Charges, as specified in the Schedule. The first payment is due on the Agreement Effective Date. The Agreement remains in effect for the term of one month from that date. Succeeding Subscription Charges are due on the first day of each following month. This day is the Subscription Charge Due Date.

The agreement will commence on the date of signature and following a receipt of a signed copy of the agreement, CFBF will advise the relevant authorised information vendor of the organisation’s subscription details. The annual subscription period is 1st January to 31st December. A pro-rata subscription charge will apply for agreements signed part way through the subscription year. This agreement will automatically renew on 1st January each year unless written notice of termination is received with minimum of 30 days prior to the 1st January renewal date. CFBF may terminate this agreement immediately, if in its reasonable opinion, the subscriber is using the data in contravention of this Agreement. CFBF may terminate this agreement immediately if valid and up-to-date details of the organisation are not provided, prohibiting CFBF from being able to communicate effectively with the Subscriber. CFBF reserves the right to request a compliance certificate from the Subscriber to ascertain that the Subscriber is meeting the Terms and Conditions of this Agreement. Failure to complete and return a compliance certificate within 20 days will result in loss of access to the service immediately. On termination by CFBF for any reason, CFBF will return any pre-paid subscription fees to the Subscriber within 30 days. The CFBF reserves the right to change the format and/or content of the CFBF Benchmark Data Service from time to time without advance notice. The CFBF Terms and Conditions are subject to review and the CFBF reserves the right to make additional changes from time to time. Subscription Charges. Unless otherwise specified except during your free trial all charges associated with Your Account (“Subscription Charges”) are due in full and payable in advance when You subscribe to the Service(s). Unless specified otherwise in a Form, the Subscription Charges are based on the Service Plans You choose and are payable in full until You terminate Your Account. You will receive a receipt upon each receipt of payment by Us. You may also obtain a payment receipt from within the Service(s).
Subscription Charges. 6.1 The Service being a mobile subscription service is charged at a flat fee between £2.00 and £4.50 per week (exact price depending on the existing campaign at time of joining and network operator) which offers you unlimited access to the Content via the App while you remain subscribed to the Service. The subscription fee shall become due at the end of the specific subscription period while you are subscribed to this Service irrespective of whether or not the App is actually accessed during any particular subscription period. 6.2 Your contract for the Service is with us and not with your MNO. Your MNO has agreed with us to simply to charge the amount directly to your bill or prepay account. Once this charge has been authorised by you must pay your MNO (for monthly accounts) the amount charged. You are therefore wholly responsible for checking that you are happy with the seller (us), price and the Service before making a purchase commitment. 6.3 When choosing to pay by your mobile account or prepaid credit, you have either provided your mobile number to the payment intermediary or you have agreed for your MNO to pass your number directly. The operation of this payment facility is regulated under the PhonepayPlus Code of Practice and is bound by the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations. 6.4 MNO charges may also apply and all prices stated and/or otherwise communicated to you are inclusive of VAT (where applicable). The Service being provided on a subscription basis means it will renew automatically after the end of the specific subscription period unless and until the you decide to opt out or unsubscribe. 6.5 You can access the Service until you send “STOP PLAYBOY” to 60113 (for O2, Vodafone and EE customers) at any time to out opt or unsubscribe from the Service. Further details on cancellation can be found in the Customer Service section below.
Subscription Charges. 7.1 The Subscription Charges and any other charges expressly agreed between the parties in writing shall be paid by the Customer at the rates and in the manner described on the payment plans page. 7.2 No Subscription Charges shall be payable during an Evaluation. 7.3 All undisputed invoices shall be paid by the Customer: 7.3.1 in respect of a Monthly Subscription, on the Effective Subscription Date and thereafter on each monthly anniversary of the Effective Subscription Date in each calendar month; 7.3.2 in respect of an Annual Subscription, annually in advance on the Effective Subscription Date and thereafter on each anniversary of the Effective Subscription Date; or 7.3.3 in respect of a subscription which is not a Monthly Subscription or an Annual Subscription, on recurring dates to be agreed by Kiroku and the Customer in writing (“Ad-Hoc Subscription”), (each (as applicable) the “Due Date”) 7.4 The currency of this Agreement is pounds sterling and all amounts due under this Agreement shall be invoiced in pounds sterling. The Subscription Charges are inclusive of VAT. 7.5 If Kiroku has not received payment within ten (10) days of the applicable Due Date, and without prejudice to any other rights and remedies of Kiroku: 7.5.1 Kiroku may, without liability to the Customer, disable the Authorised User’s password, account and access to all or part of the Kiroku Software and Kiroku shall be under no obligation to provide the Customer with access to the Kiroku Software while the invoice(s) concerned remain unpaid; and 7.5.2 interest shall accrue on a daily basis on such due amounts at an annual rate equal to 4% over the then current base lending rate of the Bank of England from time to time, commencing on the due date and continuing until fully paid, whether before or after judgment. 7.6 Kiroku shall be entitled to increase the Subscription Charges at anytime during the Term upon ninety (90) days’ prior notice to the Customer and the Subscription Charges shall be deemed to have been amended accordingly on expiry of such notice.]

In the event of late/non-payment of any of the Subscription Charges or any other fees or charges payable under this Agreement, Dairymaster reserves the right (without liability) to bar the Customer access to all or any part of the Software and/or Services by whatever means it deems appropriate until such time as payment is received in full. Interest on late payments shall accrue from the date when payment became due until the date of actual payment at the rate of 1% per month above the European Central Bank main refinancing rate applicable in the said period (or such other rate as Dairymaster may notify the Customer of in writing) and shall accrue at such rate after judgment as well as before judgment.
