Common use of Subscription for Investment Clause in Contracts

Subscription for Investment. The Reinvestment Stockholder is subscribing for the Subject Shares and holding the Subject Options for his or her own account, not as a nominee or agent, for investment purposes only and not with a view to the distribution or public offering thereof in violation of the United States Securities Act of 1933, as amended (the “Securities Act”), or any applicable United States federal or state securities laws or regulations, and the Reinvestment Stockholder has no present intention of selling, granting any participation in, or otherwise distributing the same. The Reinvestment Stockholder understands that the holding of the Subject Shares and/or Assumed Options involves substantial risk and understands the tax consequences of acquiring the Subject Shares and exercising Subject Options.
