Common use of Subscription for Stock Clause in Contracts

Subscription for Stock. Subject to the terms and conditions hereof, the Investor hereby irrevocably subscribes to purchase 1,000,000 Shares of Common Stock at a purchase price of $0.45 per share, determined by a price of 110% of the average closing price of the Company’s stock for the 20 trading days up to and including the closing day.

Subject to the terms and conditions hereof, the Investor hereby irrevocably subscribes to purchase 1,000,000 92,593 Shares of Common Stock at a an aggregate purchase price of $0.45 per share0.54, determined by or a number of shares at a price of 110% of the average closing price of the Company’s stock for the 20 trading days up to and including the closing day.
