Common use of Subscription Receipt Agent’s Remuneration and Expenses Clause in Contracts

Subscription Receipt Agent’s Remuneration and Expenses. The Corporation covenants that it will pay (and shall be responsible for the payments thereof) to the Subscription Receipt Agent from time to time, reasonable remuneration for its services under this Agreement and will pay or reimburse the Subscription Receipt Agent upon its request for all reasonable expenses, disbursements and advances incurred or made by the Subscription Receipt Agent in the administration or execution of its duties as set out in this Agreement (including the reasonable compensation and the disbursements of its Counsel and all other advisors and assistants not regularly in its employ) both before any default under this Agreement and thereafter until all duties of the Subscription Receipt Agent under this Agreement shall be finally and fully performed. Any amount owing under this Section 4.2 and unpaid thirty (30) days after request for such payment will bear interest from the expiration of such thirty (30) days at a rate per annum equal to the then current rate charged by the Subscription Receipt Agent, payable on demand. This Section shall survive the resignation of the Subscription Receipt Agent and/or the termination of this Agreement.

The Corporation covenants that it will pay (and shall be responsible for the payments thereof) to the Subscription Receipt Agent from time to time, time reasonable remuneration for its services under this Agreement hereunder and will pay or reimburse the Subscription Receipt Agent upon its request for all reasonable expenses, disbursements and advances incurred or made by the Subscription Receipt Agent in connection with the administration or execution of its duties as set out in this Agreement the trusts hereby created (including the reasonable compensation and the disbursements of its Counsel and all other advisors advisers and assistants not regularly in its employ) both before any default under this Agreement hereunder and thereafter until all duties of the Subscription Receipt Agent under this Agreement hereunder shall be finally and fully performed, except any such expense, disbursement or advance as may arise out of or result from the Subscription Receipt Agent's gross negligence, wilful misconduct or fraud. Any amount owing under this Section 4.2 hereunder and remaining unpaid thirty (30) 30 days after request for such payment from the invoice date will bear interest from the expiration of such thirty (30) days at a rate per annum equal to the then current rate charged by the Subscription Receipt Agent, Agent against unpaid invoices and shall be payable on upon demand. This Section 4.7 shall survive the termination of this Agreement and the removal or resignation of the Subscription Receipt Agent and/or the termination of this AgreementAgent.
