Common use of Subsequent Purchases Clause in Contracts

Subsequent Purchases. After the Closing Date, until the Purchase and Sale Termination Date, each Receivable and the Related Rights generated by each Originator shall be, and shall be deemed to have been, sold or contributed, as applicable, by such Originator to the Buyer immediately (and without further action) upon the creation of such Receivable.

After the Closing Date, until the Purchase and Sale Termination Date, each Receivable (other than any TRS Receivable) and the Related Rights generated by each Originator shall be, and shall be deemed to have been, sold or contributed, as applicable, by such Originator to the Buyer immediately (and without further action) upon the creation of such Receivable.

After the Closing Date, until the Purchase and Sale Termination Date, each Receivable and the Related Rights generated by each Originator shall be, and shall be deemed to have been, sold or contributed, as applicable, by such Originator to the Buyer Company immediately (and without further action) upon the creation of such Receivable.

Subsequent Purchases. After the Closing Date, until the Purchase and Sale Termination Date, each Receivable and the all Related Rights Security and Collections with respect thereto generated by each Originator shall be, and shall be deemed to have been, sold or sold, assigned, transferred, conveyed and contributed, as if applicable, by such Originator to the Buyer immediately (and without further actionaction by any Person) upon the creation of such Receivable.

Subsequent Purchases. After the Closing Date, until the Purchase and Sale Termination Date, each Receivable and the Related Rights generated or otherwise acquired by each the Sub-Originator shall be, and shall be deemed to have been, sold or contributed, as applicable, by such the Sub-Originator to the Buyer immediately (and without further action) upon the creation creation, sale or purported sale of such Receivable, as applicable.

After the Closing Date, until the Purchase and Sale Termination Date, each Receivable and the Related Rights generated by each Originator shall be, and Seller shall be deemed to have been, been sold or contributed, as applicable, by such Originator Seller to the Buyer immediately (and without further action) upon the creation of such Receivable.
