Subsequent Signatories. With respect to a Tobacco Product Manufacturer that signs this Agreement after the MSA Execution Date, the timing of obligations under this Agreement (other than payment obligations, which shall be governed by subsection II(jj)) shall be negotiated to provide for the institution of such obligations on a schedule not more favorable to such subsequent signatory than that applicable to the Original Participating Manufacturers.
Subsequent Signatories. It is intended that this Agreement be open to other municipalities should they wish to take advantage of it in furthering their interests through regional cooperation. To that end, Northern Sunrise County and the Town of Peace River agree that other municipalities may join this capital cost-sharing arrangement based on the same principles reflected in this Agreement.
Subsequent Signatories. Notwithstanding anything to the contrary herein, if the Company shall issue additional shares of its Series C Preferred Stock subsequent to the date hereof, any holder of such shares may become a party to this Agreement by executing and delivering an additional counterpart signature page to this Agreement, such holder shall theretofore be deemed one of the “Investors” for all purposes hereunder and Exhibit A to this Agreement shall be amended by the Company without the consent of the Investors, OHSU or Pitt to include such holder.
Subsequent Signatories. As a condition to the transfer of any shares of Common Stock, whether pursuant to an original issuance of shares of Common Stock, a Permitted Transfer, or otherwise, the transferee of any of such shares shall be required to enter into an agreement agreeing to be bound by all of the provisions of this Agreement. Any transfer of any shares of Common Stock in breach of the foregoing sentence shall be null and void and shall not be reflected on the Company’s transfer records.
