Common use of Subsidiary Agreement Clause in Contracts

Subsidiary Agreement. 1. To facilitate the carrying out of the Project, the Recipient shall make the proceeds of the Financing available to the Project Implementing Entity on a grant basis under a subsidiary agreement between the Recipient and the Project Implementing Entity, under terms and conditions approved by the Association, (“Subsidiary Agreement”). The Subsidiary Agreement shall also specify the terms and conditions for the delegated management of the Project by the Project Implementing Entity on behalf of the Recipient. 2. The Recipient shall exercise its rights under the Subsidiary Agreement in such manner as to protect the interests of the Recipient and the Association and to accomplish the purposes of the Financing. Except as the Association shall otherwise agree, the Recipient shall not assign, amend, abrogate or waive the Subsidiary Agreement or any of its provisions.

Subsidiary Agreement. 1. To facilitate the carrying out of the Project, the Recipient shall enter into a subsidiary agreement with EDD in form and substance satisfactory to the Association (“Subsidiary Agreement”) setting forth: (a) the obligations and commitments of EDD with respect to the carrying out of the Project; and (b) the terms and conditions under which the Recipient shall make the proceeds of the Financing available to the Project Implementing Entity on a grant basis under a subsidiary agreement between the Recipient and the Project Implementing EntityEDD, under terms and conditions approved by which shall be acceptable to the Association, (“Subsidiary Agreement”). The Subsidiary Agreement shall also specify the terms and conditions for the delegated management of the Project by the Project Implementing Entity on behalf of the Recipient. 2. The Recipient shall exercise its rights under the Subsidiary Agreement in such manner as to protect the interests of the Recipient and the Association and to accomplish the purposes of the Financing. Except as the Association shall otherwise agree, the Recipient shall not assign, amend, abrogate or waive the Subsidiary Agreement or any of its provisions.

Subsidiary Agreement. 1. To facilitate the carrying out of the ProjectProject by INIAF, the Recipient shall make the proceeds of the Financing available to the Project Implementing Entity on a grant basis INIAF under a subsidiary agreement to be entered into between the Recipient and the Project Implementing EntityINIAF, under terms and conditions approved by the Association, including, inter alia, the requirement that INIAF shall comply with the terms of this Agreement, the OM and the Anti-corruption Guidelines (“Subsidiary Agreement”). The Subsidiary Agreement shall also specify the terms and conditions for the delegated management of the Project by the Project Implementing Entity on behalf of the Recipient. 2. The Recipient shall exercise its rights and carry out its obligations under the Subsidiary Agreement in such manner as to protect the interests of the Recipient and the Association and to accomplish the purposes of the Financing. Except as the Association shall otherwise agree, the Recipient shall not assign, amend, abrogate abrogate, terminate, waive or waive fail to enforce the Subsidiary Agreement or any of its provisions.

Subsidiary Agreement. 1. To facilitate the carrying out and financing of Part 1 of the Project, the Recipient shall make part of the proceeds of the Financing available to the Project Implementing Entity on a grant basis under a subsidiary agreement between the Recipient and the Project Implementing Entity, under terms and conditions approved by the Association, Entity (“Federation Subsidiary Agreement”). The Subsidiary Agreement shall also specify , under the same terms and conditions for as the delegated management of the Project Financing, approved by the Project Implementing Entity on behalf of Association and including the RecipientAnti-Corruption Guidelines. 2. The Recipient Project Implementing Entity shall exercise its rights under the Federation Subsidiary Agreement in such manner as to protect the interests of the Recipient and the Association and to accomplish the purposes of the Financing. Except as the Association shall otherwise agree, the Recipient Project Implementing Entity shall not assign, amend, abrogate or waive the Subsidiary Agreement Agreements or any of its provisionsprovision thereof.

Subsidiary Agreement. 1. To facilitate the carrying out of Parts A.2 (iii) and B of the Project, Project within the territory of the Recipient the Recipient shall make the proceeds of the Financing available to the Project Implementing Entity on a grant basis under a subsidiary agreement between the Recipient and the Project Implementing Entity, in accordance with the Recipient’s re-lending policies and procedures, under terms and conditions approved by acceptable to the Association, Association (“Subsidiary Agreement”). The Subsidiary Agreement shall also specify the terms and conditions for the delegated management of the Project by the Project Implementing Entity on behalf of the Recipient. 2. The Recipient shall exercise its rights under the Subsidiary Agreement in such manner as to protect the interests of the Recipient and the Association and to accomplish the purposes of the Financing. Except as the Association shall otherwise agree, the Recipient shall not assign, amend, abrogate or waive the Subsidiary Agreement or any of its provisions.

Subsidiary Agreement. 1. To facilitate the carrying out of its Respective Part of the Project, Project and the Recipient shall make transfer of part of the proceeds of the Financing available to the Project Implementing Entity on a grant basis under a subsidiary agreement between by the Recipient and to the Project Implementing Entity, the Project Implementing Entity shall enter into a Subsidiary Agreement with the Recipient, under terms and conditions approved by acceptable to the Association, (“Subsidiary Agreement”). The Subsidiary Agreement which shall also specify include the relevant terms and conditions for set out in Section I.A. of Schedule 2 to the delegated management of the Project by the Project Implementing Entity on behalf of the RecipientFinancing Agreement. 2. The Recipient Project Implementing Entity shall exercise its rights under the Subsidiary Agreement in such manner as to protect the interests of the Recipient Project Implementing Entity and the Association and to accomplish the purposes of the Financing. Except as the Association shall otherwise agree, the Recipient Project Implementing Entity shall not assign, amend, abrogate or waive the Subsidiary Agreement or any of its provisions. In case of any conflict between the Subsidiary Agreement and this Agreement, this Agreement shall prevail.

Prior to commencing any activity in a Participating State, the Recipient shall ensure that a subsidiary agreement between the Recipient and such Participating State, under terms and conditions acceptable to the Association (“Subsidiary Agreement”), has been entered into between the Recipient and such Participating State. To facilitate the carrying out of the ProjectProject at the state level, the Recipient shall make part of the proceeds of the Financing available to the Project Implementing Entity on a grant basis Participating State under a subsidiary agreement between the Recipient and the Project Implementing Entity, under terms and conditions approved by the Association, (“Subsidiary Agreement”). The Subsidiary Agreement shall also specify the terms and conditions for the delegated management of the Project by the Project Implementing Entity on behalf of the Recipient. 2. The Recipient shall exercise its rights under the Subsidiary Agreement in such manner as to protect the interests of the Recipient and the Association and to accomplish the purposes of the Financing. Except as the Association and the Recipient shall otherwise agreeagree in writing, the Recipient shall not assign, amend, abrogate or waive the Subsidiary Agreement or any of its provisions.

The Subsidiary Agreement shall also specify the terms and conditions for the delegated management of the Project by the Project Implementing Entity on behalf of the Recipient. 2. The Recipient shall exercise its rights under the Subsidiary Agreement in such manner as to protect the interests of the Recipient and the Association and to accomplish the purposes of the Financing. Except as the Association shall otherwise agree, the Recipient shall not assign, amend, abrogate or waive the Subsidiary Agreement or any of its provisions.
