Common use of Subsidiary Cost Allocation Agreements Clause in Contracts

Subsidiary Cost Allocation Agreements. (i) Promptly perform and observe in all material respects all of the terms, covenants and conditions required to be performed and observed by the Borrower under any Subsidiary Cost Allocation Agreement, (ii) do all things commercially reasonable to preserve and to keep unimpaired its material rights under any Subsidiary Cost Allocation Agreement, (iii) not waive, excuse or discharge any of the material obligations of any Unrestricted Subsidiary under any Subsidiary Cost Allocation Agreement without the Administrative Agent’s prior written consent in each instance, and (iv) enforce the material obligations of each Unrestricted Subsidiary under any Subsidiary Cost Allocation Agreement.
