Common use of Substantial Completion; Punch-List Clause in Contracts

Substantial Completion; Punch-List. For purposes of Subparagraph 8(a)(ii) above, the Tenant Improvements will be deemed to be "substantially completed" when Landlord's contractor certifies in writing to Landlord and Tenant that Landlord: (a) is able to provide Tenant with reasonable access to the Premises; (b) has substantially performed all of the Tenant Improvement Work required to be performed by Landlord under this Work Letter Agreement, other than decoration and minor "punch-list" type items and adjustments which do not materially interfere with Tenant's access to or use of the Premises; and (c) has obtained a temporary certificate of occupancy or other required equivalent approval from the local governmental authority permitting occupancy of the Premises. Within ten (10) days after receipt of such certificate from Landlord's contractor, Tenant will conduct a walk-through inspection of the Premises with Landlord and provide to Landlord a written punch-list specifying those decoration and other punch-list items which require completion, which items Landlord will thereafter diligently complete.

Within ten (10) days after receipt of such certificate from Landlord's contractorthe date on which the Tenant Improvement Work is Substantially Complete, Tenant will conduct a walk-through inspection of the Premises with Landlord and provide to Landlord a written punch-list specifying those decoration and other punch-list items which require completion, which items Landlord will thereafter diligently complete.

For purposes of Subparagraph 8(a)(ii) above, the Building Shell and the Tenant Improvements within the C&B Premises and each portion of the Subleased Premises will be deemed to be "substantially completed" when Landlord's contractor certifies in writing to Landlord and Tenant that Landlord: (a) is able to provide Tenant with reasonable access to the Premises; (b) has substantially performed all of the Tenant Improvement Work required to be performed by Landlord under this Work Letter Agreement, other than decoration and minor "punch-list" type items and adjustments which do not materially interfere with Tenant's access to or use of the applicable portion of the Premises; and (c) has obtained a temporary certificate of occupancy or other required equivalent approval from the local governmental authority permitting occupancy of the applicable portion of the Premises. Within ten thirty (1030) days after receipt of such certificate from Landlord's contractor, Tenant will conduct a walk-through inspection of the applicable portion of the Premises with Landlord and provide to Landlord a written punch-list specifying those decoration and other punch-list items which require completion, which items Landlord will thereafter diligently complete.

For purposes of Subparagraph 8(a)(ii) above7.1(b)above, the Tenant Leasehold Improvements will shall be deemed to be "substantially completed" when Landlord's contractor certifies in writing to Landlord and Tenant that LandlordLandlord has: (a) is able provided to provide Tenant with reasonable access to the Premises; (b) has substantially performed all of the Tenant Improvement Work Leasehold Improvements work required to be performed by Landlord under this Work Letter Agreement, other than decoration and minor "punch-list" type items and adjustments which do not materially interfere with Tenant's access to or use of the Premises; and (c) has all building systems are in good working order; and (d) obtained a temporary certificate of occupancy or other required required, equivalent approval from the local governmental authority permitting occupancy of the Premises. Within ten (10) days after receipt of such certificate from Landlord's contractorContractor, Tenant will shall conduct a walk-through inspection of the Premises with Landlord and Contractor and provide to Landlord a written punch-list specifying those decoration and other punch-list items which require repair and/or completion, which items Landlord will shall thereafter diligently completecomplete within ten (10) business days of Landlord's receipt of the punch-list or as soon thereafter as commercially feasible.

For purposes of Subparagraph 8(a)(iiSection 7(b) above, the Tenant Improvements will be deemed to be "“substantially completed" ” when Landlord's Tenant’s contractor certifies in writing to Landlord and Tenant that Landlord: (a) is able to provide Tenant with reasonable access to the Premises; (b) has substantially performed all of the Tenant Improvement Work required to be performed by Landlord Tenant under this Work Letter Agreement(as to the initial phase of the Tenant Improvement Work, if applicable), other than decoration and minor "“punch-list" ” type items and adjustments which do not materially interfere with Tenant's access to or ’s use of the Premises; and (c) Tenant has obtained a temporary certificate of occupancy or other required equivalent approval from the local governmental authority permitting occupancy of the Premises. Within ten (10) days after receipt of such certificate from Landlord's contractorcertificates, Tenant and Landlord will conduct a walk-through inspection of the Premises with and Landlord and shall provide to Landlord Tenant a written punch-list specifying those decoration and other punch-list items which require completion, which items Landlord Tenant will thereafter diligently complete.. For purposes of Subparagraph 8(a)(ii) above, the The 2nd Floor Tenant Improvements will shall be deemed to be "substantially completed" “Substantially Completed” when Landlord's contractor Tenant’s Contractor certifies in writing to Landlord and Tenant that Landlord: (a) is able to provide Tenant with reasonable access to the 2nd Floor Premises; (b) has substantially performed all of completed the 2nd Floor Tenant Improvement Work required to be performed by Landlord under this Work Letter AgreementImprovements in accordance with the Plans, other than decoration and minor "“punch-list" ” type items and adjustments which which, in the reasonable judgment of Tenant’s Contractor, do not materially interfere with Tenant's ’s access to or use of the 2nd Floor Premises; and (c) has obtained a temporary certificate of occupancy or other required equivalent approval from the local governmental authority permitting occupancy of the 2nd Floor Premises. Within ten (10) business days after receipt of such certificate from Landlord's contractorthe 2nd Floor Tenant Improvements are Substantially Completed, Tenant will shall conduct a walk-through inspection of the 2nd Floor Premises with Landlord and provide to Landlord a written punch-list specifying those decoration and other punch-list items which require completion, which items Landlord will shall thereafter diligently complete.

For purposes of Subparagraph Section 8(a)(ii) above, the Tenant Improvements will be deemed to be "substantially completed" when Landlord's contractor certifies in writing to Landlord and Tenant that Landlord: (a) is able to provide Tenant with reasonable access to the PremisesExpansion Space; (b) has substantially performed all of the Tenant Improvement Work required to be performed by Landlord under this Work Letter Agreement, other than decoration and minor "punch-list" type items and adjustments which do not materially interfere with Tenant's access to or use of the PremisesExpansion Space; and (c) has obtained a temporary certificate of occupancy or other required equivalent approval from the local governmental authority permitting occupancy of the PremisesExpansion Space. Within ten (10) days after receipt of such certificate from Landlord's contractor, Tenant will conduct a walk-through inspection of the Premises Expansion Space with Landlord and provide to Landlord a written punch-list specifying those decoration and other punch-list items which require completion, which items Landlord will thereafter diligently complete.

For purposes of Subparagraph 8(a)(iisubparagraph 8(a) above, the Tenant Improvements will be deemed to be "substantially completed" when LandlordTenant's contractor Contractor certifies in writing to Landlord and Tenant that Landlord: (a) is able to provide Tenant with has reasonable access to the Premises; (b) Tenant's Contractor has substantially performed all of the Tenant Improvement Work required to be performed by Landlord Tenant under this Work Letter Agreement, other than decoration and minor "punch-list" type items and adjustments which do not materially interfere with Tenant's access to or use of the Premises; and (c) has obtained a temporary certificate of occupancy or other required equivalent approval from the local governmental authority permitting occupancy of the PremisesPremises has been issued. Tenant's construction contract with Tenant's Contractor shall require Tenant's Contractor to timely issue the foregoing certification. Within ten (10) days after receipt of such certificate from LandlordTenant's contractorContractor, Landlord and Tenant will conduct a walk-through inspection of the Premises with Landlord Tenant's Contractor and provide to Landlord Tenant's Contractor a written punch-list specifying those decoration and other punch-list items which require completion, which items Landlord Tenant's Contractor will thereafter diligently complete.

Within ten (10) days after receipt of such certificate from Landlord's ’s contractor, Tenant will conduct a walk-through inspection of the Premises Expansion Space with Landlord and provide to Landlord a written punch-list specifying those decoration and other punch-list items which require completion, which items Landlord will thereafter diligently complete.
