Section 3.22(a) of the Disclosure Schedule lists the ten largest customers of the Company, on the basis of revenues for goods sold for the most recently-completed fiscal year. Section 3.22(b) of the Disclosure Schedule lists the ten largest suppliers of the Business, on the basis of cost of goods or services purchased for the most recently-completed fiscal year. Except as disclosed in Section 3.29(c) of the Disclosure Schedule, no such customer or supplier has ceased or materially reduced its purchases from, or sales to the Business since December 31, 1998 or, to the Knowledge of the Company, has threatened to cease or materially reduce such purchases, use, sales or provision of services after the date hereof. Except as disclosed in Section 3.22(d) of the Disclosure Schedule, to the Knowledge of the Company, no such customer or supplier is threatened with bankruptcy or insolvency.
