Substantial Customers. (a) Section 2.20(a) of the Company Disclosure Letter lists the 10 largest customers of the Company on the basis of revenues for the 12-month period ending on the date of the Company Balance Sheet.
(b) As of the date hereof, no such customer described in Sections 2.20(a) above has (i) ceased or materially reduced its purchases from the Company since the beginning of such 12 month period, (ii) to the Knowledge of the Company, threatened to cease or materially reduce such purchases or (iii) to the Knowledge of the Company, been threatened with bankruptcy or insolvency. All Contracts with the customers required to be set forth on Section 2.20(a) of the Company Disclosure Letter (the “Substantial Customer Contracts”) are valid and in full force and effect except to the extent they have previously expired, or otherwise terminated, in accordance with their terms or if the failure to be in full force and effect, individually or in the aggregate, would not reasonably be expected to be material to the Company and its Subsidiaries, taken as a whole. Neither the Company nor any of its Subsidiaries has violated any provision of, or committed or failed to perform any act which, with or without notice, lapse of time or both would constitute a default under the provisions of, any Substantial Customer Contract, except in each case for those violations and defaults which, individually or in the aggregate, would not reasonably be expected to be material to the Company and its Subsidiaries, taken as a whole.
Substantial Customers. Section 3.25 of the Disclosure Schedule lists the ten largest customers of the Group Companies on the basis of revenues for services provided in the year ended 30 September 2009.
Substantial Customers. Section 7.19 of the Seller Disclosure Letter lists the twenty (20) largest customers of the Customer Care Business, on the basis of revenues for the fiscal year ending December 31, 2012. As of the date of this Agreement, to Seller’s Knowledge, no Key Customer has canceled or terminated its relationship with any of the Selling Companies with respect to the Customer Care Business or threatened in writing to do so, or materially amended or failed to renew the terms of a Transferred Contract, in each case, since January 1, 2013.
Substantial Customers. (a) Section 4.22(a) of the Company Schedule of Exceptions lists the fifteen (15) largest customers of the Company (based on revenues for the 12-month period ending on the December 31, 2011), with the name of each such customer redacted, but the revenue for such 12-month period specified.
(b) As of the date hereof, no such customer described in Section 4.22(a) above has (i) ceased or materially reduced its purchases from the Company since the beginning of such 12-month period, (ii) to the Knowledge of the Company, threatened to cease or materially reduce such purchases or (iii) to the Knowledge of the Company, been threatened with bankruptcy or insolvency. All contracts with the customers required to be set forth on Section 4.22(a) of the Company Schedule of Exceptions (the “Substantial Customer Contracts”) are valid and in full force and effect except to the extent they have previously expired, or otherwise terminated, in accordance with their terms. Neither the Company nor any of its Subsidiaries has violated any provision of, or committed or failed to perform any act which, with or without notice, lapse of time or both would constitute a default under the provisions of, any Substantial Customer Contract, except in each case for those violations and defaults which, individually or in the aggregate, would not reasonably be expected to result in a Company Material Adverse Effect.
Substantial Customers. (a) Section 2.20 of the Disclosure Schedule lists the ten largest refining customers of the Contributor, on the basis of actual revenues for services provided in 2008 and through the eight months ended August 31, 2009.
(b) No such customer has ceased or materially reduced its use of the refinery services of the Contributor since August 31, 2009 or, to the Knowledge of the Contributor, has threatened to cease or materially reduce such purchases, use, sales or provision of services after the date hereof.
(c) Except for relationships with Affiliates, and except for the passive ownership of publicly traded securities that constitute less than 2% of any Person, with respect to the Contributed Assets, neither the Contributor nor any director, officer or employee of the Contributor possesses, directly or indirectly, any financial interest in any Person that is a supplier, customer, lessor, lessee or competitor of the Contributor.
Substantial Customers. Schedule 3.25 lists the ten largest customers of the Group Companies, on the basis of revenues for services provided in the year ended December 31, 2007.
Substantial Customers. (a) Section 3.23 of the Disclosure Schedule lists the 10 largest customers of the Company, on the basis of revenues for (i) the year ended December 31, 2015, and (ii) the six month period ended June 30, 2016 (each a “Substantial Customer”).
(b) No Substantial Customer has ceased or materially reduced its purchase of goods or services from the Company since the Financial Statement Date or, to the Knowledge of the Principal Sellers, has threatened to cease or materially reduce such purchases after the date hereof.
Substantial Customers. Section 2.21 of the Company Disclosure --------------------- -------------------------------------- Schedule lists all customers of Company. Except as expressly contemplated by the -------- terms of such customers' agreement with the Company, no customer has ceased or materially reduced its purchases from or sales or provision of services to Company since December 31, 1999, or, to the knowledge of Company, has threatened to cease or materially reduce such purchases or sales after the date hereof. To the knowledge of Company, no customer is threatened with bankruptcy or insolvency.
Substantial Customers. Section 3.7(a) of the Disclosure Letter lists the twenty (20) largest customers of the Company and its Subsidiaries on the basis of revenues (including the respective revenues of such customers) for the twelve month period ended (i) December 31, 2013, (ii) December 31, 2012 and (iii) December 31, 2011.
Substantial Customers. Section 4.24(a) of the Company Disclosure Schedule contains a true and correct list of all the customers of the Company with sales, to or through such customers, or who have made payments to the Company, exceeding either $75,000 for the 12-month period ending on December 31, 2012 or $50,000 for the 9-month period ending on September 30, 2013 and indicating the dollar amount of sales with respect to each such customer during such period.
