Substantially Similar Products. In view of Consultant’s access to the Company’s trade secrets and proprietary know-how, Consultant will not, without the Company’s prior written approval, design, or assist others in the design of, identical or substantially similar Products (as defined in the ASCA), Compounds (as defined in the ASCA), and/or drug candidates ([*****]) as those developed under this R&D Services Agreement for any third party during the Term and after the termination of this R&D Services Agreement. Consultant acknowledges that the obligations in this Section 4(b) are ancillary to its obligations under Exhibit B (Inventions Assignment Agreement).

Substantially Similar Products. Medis will not directly or indirectly offer to sell, sell, distribute, license, or otherwise transfer any of the Products, or any item that is “Substantially Similar” to any Product, to the Market Companies during the time that the distribution rights are in effect. An item shall be considered “Substantially Similar” to a Product if it is a liquid fuel cell product which includes the same or similar functionality as any of the product.Nothwithstanding the foregoing, nothing herein contained shall limit Medis in selling, distributing or licensing Products to Original Equipment Manufacturers or other companies or entities that sell or offer to sell the Product to Market Companies together with devices that they manufacture or distribute, including without limitation companies or entities that sell or offer to sell the Product to Market Companies packaged or bundled with such devices, as a premium in connection with the purchase of such devices and/or where the Product is a part of or connected to the devices or there exist similar tie ins of the Product with the devices.

To the extent that any SUBLICENSE INCOME relates to a COMBINATION PRODUCT or is otherwise calculated based on the value of one or more licenses or intellectual property rights held by the COMPANY, an AFFILIATE or SUBLICENSEE, COMPANY shall determine in good faith and report to THE PARTIES the share of such payments reasonably attributable to COMPANY’s or such AFFILIATE’s sublicense of the rights granted hereunder, based upon their relative importance and proprietary protection, which portion shall be the SUBLICENSE INCOME. THE PARTIES shall have the right to dispute such sharing determination in accordance with the dispute provisions of the AGREEMENT.
