Substitution and Assignment. Contractor shall not, without District’s written consent: Substitute any person as a subcontractor in place of the subcontractor designated in the original bid. Permit any Subcontract to be assigned or transferred, or allow any portion of the Work to be performed by anyone other than the subcontractor listed in the original bid; or Sublet or subcontract any portion of the Work in excess of one-half of one percent (1/2 of 1%) of Contractor’s total bid as to which his original bid did not designate a subcontractor. Coordination of Work. Contractor shall coordinate the trades, subcontractors, sub-subcontractors and material or equipment suppliers working on the Project.

Upon approval by the Commission, the Contractor may substitute other persons to perform some identified portion of the Services set forth in this Agreement. Substitution and Assignment. This Agreement and any rights and obligations hereunder cannot be assigned or pledged by any Party hereto without the prior written consent of all other Parties. However, SMSC may assign all (but not part only) of its rights (but not all or any of its obligations) under this Agreement to any Affiliate of SMSC; provided that such assignment occurs subject to the condition subsequent (auflosende Bedingung) of the assignee ceasing to be an Affiliate of SMSC and that the assignor may not further assign any rights so assigned. No such assignment shall relieve SMSC of its obligations hereunder.
Substitution and Assignment. The designation of Holdings as "Seller" under the Agreement was a mutual mistake and, in fact, title to the Property is vested in PEPCO, which is a wholly owned subsidiary of Holdings. It is the intention of the parties that PEPCO be the "Seller" under the Agreement; and, therefore, PEPCO is hereby substituted as "Seller" under the Agreement as if initially named as "Seller" therein. Holdings hereby assigns to PEPCO all of Holdings's rights under the Agreement and PEPCO hereby assumes all obligations of Holdings under the Agreement and from this point forward, all references to "Seller" in the Agreement shall mean PEPCO. Holdings is hereby released from all liabilities and obligations under the Agreement.
