Substitution of Exhibit. The parties agree that at such time as Sublessor and the Prime Lessor have executed an Equipment Lease in substantially the form as is attached hereto as Exhibit A, such executed Equipment Lease shall supersede Exhibit A and shall become a part of this Sublease as Exhibit A, provided that such executed Equipment Lease is in substantially the form as the form attached as Exhibit A upon execution of this Sublease and does not in any way materially vary from such form.
Substitution of Exhibit. Consistent with the Substitution, there shall be substituted for page 4 of Exhibit FC of the Lease, Exhibit A attached hereto.
Substitution of Exhibit. Exhibit "A" to the Agreement is hereby ----------------------- deleted in its entirety from the Agreement and replaced by the Exhibit "A" attached hereto and incorporated herein by this reference.
Substitution of Exhibit. The Purchase Agreement is hereby amended by adding thereto a new Exhibit A in the form of Annex A to this Amendment.
Substitution of Exhibit. Exhibit XII: Form of Assignment Agreement. Exhibit XII to the Credit Agreement is hereby amended by deleting said Exhibit XII in its entirety and substituting in place thereof a new Exhibit XII in the form of Annex II to this Amendment.
Substitution of Exhibit. Exhibit A-l – Page 1 of the Lease is hereby deleted and Exhibit A-l – Page 1 attached to this Amendment is substituted therefor. Exhibit A-l – Page 2 of the Lease remains unchanged.

Substitution of Exhibit. Exhibit A-1 attached to this Amendment shall be substituted in lieu of Exhibit A-1 of the Credit Agreement.
Substitution of Exhibit. The AM Asset Purchase Agreement is hereby amended by (i) replacing the form of Exhibit B-1 in its entirety with the form attached as Annex G to this Agreement, (ii) replacing the form of Exhibit B-2 in its entirety with the form attached as Annex H to this Amendment, and (iii) replacing the form of Exhibit D in its entirety with the form attached as Annex I to this Amendment.
