Substitution of Key Personnel. Consultant has represented to City that certain key personnel will perform and coordinate the Services under this Agreement. Should one or more of such personnel become unavailable, Consultant may substitute other personnel of at least equal competence upon written approval of City. In the event that City and Consultant cannot agree as to the substitution of key personnel, City shall be entitled to terminate this Agreement for cause. As discussed below, any personnel who fail or refuse to perform the Services in a manner acceptable to the City, or who are determined by the City to be uncooperative, incompetent, a threat to the adequate or timely completion of the Project or a threat to the safety of persons or property, shall be promptly removed from the Project by the Consultant at the request of the City. The County will not pay for any time spent for the Transfer of Knowledge and Information. 1) Notice for the substitution of Key Personnel shall include the following: a) An explanation of the reason for the reassignment or removal; b) The name of the person proposed to replace the individual; c) The individual’s resume; and d) A plan showing how the Transfer of Knowledge and Information between the departing and incoming individual will occur. 2) The County shall not unreasonably withhold consent to remove Key Personnel.

Substitution of Key Personnel. Any substitutions or replacements of Key Personnel require the written approval of the City, which will not be unreasonably withheld provided that Contractor provides sufficient information as required in the paragraph directly below. Contractor shall provide the City with the maximum possible period of notice of substitution or replacement of Key Personnel in order to allow for background screening, fingerprint checks, and other investigation as may be required. 3.9.2.1 For any proposed substitute or replacement Key Personnel, Contractor shall provide the following information to the City: a detailed explanation of the circumstances necessitating the proposed substitution or replacement, a complete resume for the proposed substitute(s), and any additional information requested by the City. Proposed substitutes or replacements should have qualifications comparable to or better than those of the persons being replaced. No change in Contract prices may occur as a result of substitution or replacement of Key Personnel.
Substitution of Key Personnel. The CM/GC shall not replace any Key Personnel during the Project without the written permission of the Department, which shall not be unreasonably withheld. If the CM/GC intends to substitute any Key Personnel, a request must be given to the Department at least 30 Calendar Days (or such shorter period as permitted by the Department) prior to the intended time of substitution. When replacements have been approved by the Department, the CM/GC shall provide a transition period of at least 10 Business Days (or such shorter period as permitted by the Department) during which the original and replacement personnel shall be working on the Project concurrently. Once a replacement for any Key Personnel is authorized, further replacement shall not occur without the written permission of the Agency.
Substitution of Key Personnel. The Construction Manager acknowledges and represents that the designated Authorized CM Representatives are “key” personnel who will perform specific tasks, duties, and services pursuant to this Agreement. In the event one or more of such key personnel are not able, or are unavailable, to continue in such capacity, the Construction Manager may substitute other personnel of at least equal skill, knowledge and competence, subject to the District’s prior written approval of any such substitution. The District may require that the Construction Manager replace any Authorized CM Representative or other Construction Manager personnel in the event the District determines that such person has performed in an unsatisfactory manner.
